When Can a Company File Dormant Company Accounts?

A company is generally treated as dormant for accounting purposes when it has no significant accounting transactions during the period. This can include a newly incorporated company that has not begun trading, a company that has stopped trading, or a holding company that only holds assets and has no significant activity. However, dormancy is not simply about having no sales or no current trade; it depends on the applicable Companies House rules and the company’s specific circumstances. Even when a company is dormant for Companies House purposes, it must still file the required annual accounts unless a specific exemption applies. It may also need to keep its confirmation statement up to date and, depending on its Corporation Tax position with HMRC, notify HMRC or continue to meet any relevant tax obligations. For Companies House purposes, a company may be dormant if it has no significant accounting transactions. These accounts are prepared to meet the statutory filing requirement and are submitted to Companies House where required.

Yes, in most cases. Being dormant for Companies House purposes does not remove the requirement to file annual accounts. The company must file the required accounts by its statutory deadline unless a specific exemption applies. A dormant company also remains responsible for keeping its information up to date and filing a confirmation statement when required.

Some dormant companies may also qualify as micro-entities under Companies House rules, in which case they may be able to use the applicable micro-entity reporting framework. However, not all dormant companies automatically qualify, and dormancy and micro-entity status are separate matters. Eligibility depends on the company's size, structure and accounting period. Companies House and HMRC apply different tests for dormancy. A company can be dormant for Companies House purposes but still be active for Corporation Tax in HMRC's view. Generally, yes. A confirmation statement is a separate filing made to Companies House, and it is required at least once every 12 months. It confirms the company's registered office, directors, shareholders and other details. Filing dormant company accounts does not replace the confirmation statement, which must be submitted as required.
