We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can You File Dormant Company Accounts in Burnham On Sea?

A company may be able to file dormant company accounts if it has been dormant from the start of its incorporation or if it has had no significant accounting transactions during the relevant period. Dormancy for accounting purposes is determined by the company’s activities and the applicable rules set by Companies House. However, dormancy does not remove all filing responsibilities. A dormant company may still be required to file its annual accounts and submit a confirmation statement to Companies House. It is also important to distinguish between dormancy for Companies House purposes and dormancy for Corporation Tax purposes with HMRC. The criteria are not identical, and a company should consider its own circumstances before assuming that no further returns are required. Being inactive or having no turnover does not automatically make a company dormant.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are the annual accounts prepared for a company that is dormant during an accounting period. They are filed with Companies House in accordance with the applicable reporting framework. The level of detail required depends on the company's circumstances, including whether it qualifies for micro-entity or other simplified reporting. A dormant company cannot simply ignore its accounts obligation; annual accounts may still be required.

Yes, in most cases. A company that is dormant for Companies House purposes is generally still required to deliver statutory annual accounts, unless a specific exemption applies. The filing requirement depends on the company's status, its accounting period and the applicable rules. Your accountant can confirm whether your dormant company must file accounts and help prepare them accurately.

Some dormant companies may qualify as micro-entities and can use the micro-entity reporting framework, but this depends on the company's eligibility and its circumstances. Being dormant does not automatically mean a company is a micro-entity, and qualifying companies must meet the relevant size and legal criteria. We can review the company's position and determine the appropriate reporting framework.

Companies House and HMRC use different tests for dormancy. A company may be dormant for Companies House purposes if it has no significant accounting transactions, while HMRC considers dormancy for Corporation Tax based on whether the company is receiving income or is otherwise within the charge to Corporation Tax. A company may be dormant for one purpose but not the other, so it is important to look at the specific requirements for each authority.

Yes, unless the company is exempt from submitting one. A confirmation statement is separate from dormant company accounts and must be delivered to Companies House every 12 months at minimum. It confirms the company's registered office, directors, shareholders and other statutory information. Filing dormant accounts does not replace the need to keep the company's information up to date.

Possibly not, but it depends on the company's Corporation Tax status. A company that is dormant for Corporation Tax purposes may need to notify HMRC and may not be required to file Corporation Tax Returns once HMRC has confirmed this. The rules are not the same as Companies House dormancy. We recommend seeking advice if you are unsure whether your company needs to submit a CT600 or other HMRC returns.

Late filing of accounts at Companies House can lead to late-filing penalties, even for a dormant company. The exact consequences depend on how late the accounts are and other circumstances. If accounts are overdue, it is important to bring matters up to date as soon as possible. We can assist with preparing and delivering the outstanding accounts, but we cannot guarantee that penalties will not arise.
