When Can You File Dormant Company Accounts in Brighton and Hove?

Dormant company accounts are annual accounts prepared for a company that is dormant for Companies House purposes. They are typically submitted to Companies House when required and may include the directors' report, balance sheet and notes, but in a simplified format. Dormancy is determined based on the company's transactions and applicable accounting rules, not simply whether it is trading or earning income.

Generally, yes. A dormant company is not automatically exempt from filing. Unless a specific exemption applies, the directors must deliver the required accounts to Companies House each year. Some dormant companies may qualify as micro-entities, but the two are separate concepts. Micro-entity status depends on meeting the statutory size criteria. Yes, in most cases a confirmation statement is still required even if the company is dormant. It is a separate Companies House filing that confirms the company's registered details are up to date. Filing dormant accounts does not replace the confirmation statement.

It depends. If the company is dormant for Corporation Tax and HMRC has agreed that a return is not needed, it may not have to submit one. However, you must notify HMRC and follow the correct procedure. If the company has been trading or had other taxable activity during the accounting period, a CT600 may still be required.

Companies House can impose late-filing penalties even if the company is dormant. The penalty is automatic and depends on how late the accounts are filed, so it is important to meet the deadline.
