We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Company File Dormant Company Accounts in Brigg?

Dormancy is not simply the same as having no sales or no current trading activity. For Companies House purposes, a company is often considered dormant if it has no significant accounting transactions during the reporting period, but the specific rules depend on the company’s circumstances and the applicable accounting framework. A company may also be dormant for Corporation Tax purposes under separate HMRC rules, and the two definitions are not always identical. Just because a company can file dormant accounts does not mean it is exempt from all filing requirements: in most cases, a dormant company still needs to file its annual accounts with Companies House and keep its confirmation statement up to date. We can help you determine whether dormant company accounts are appropriate for your company in Brigg and which obligations remain.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are the annual accounts prepared for a company that is dormant for accounting purposes during a particular reporting period. They show that the company had no significant accounting transactions and must meet Companies House requirements. Preparing dormant accounts still involves completing the required statutory formats and filing them with Companies House where applicable.

Yes, in most cases a dormant company is still required to file annual accounts with Companies House. Dormant status does not automatically remove the filing obligation. There are some exemptions and situations where accounts may not be required, but these depend on the company's specific circumstances. We can review your position and confirm what needs to be filed for a dormant company in Brigg.

Some dormant companies may also qualify as micro-entities and can use the micro-entity reporting framework if they meet the relevant legal criteria. However, dormancy and micro-entity status are separate matters, and eligibility depends on factors such as the company's size, structure and accounting period. We can help you determine which reporting framework applies to your dormant company in Brigg.

Companies House and HMRC use different definitions and rules for dormancy. A company can be dormant for Companies House purposes because it has no significant accounting transactions, but it may not automatically be treated as dormant for Corporation Tax. For HMRC, a separate determination is made, and the company may need to notify HMRC and stop filing Corporation Tax Returns only where HMRC confirms no further returns are required. Filing dormant accounts with Companies House does not, by itself, update HMRC.

A confirmation statement is separate from dormant company accounts. Even if your company is dormant, it normally still needs to file a confirmation statement with Companies House at least once every 12 months and keep its registered office, directors and shareholders' information up to date. Filing dormant accounts does not replace the confirmation statement.

It depends on the company's Corporation Tax position and HMRC's rules. If the company is dormant for Corporation Tax purposes and HMRC has confirmed that no further returns are required, it may not need to file another CT600. Otherwise, the company may still need to submit Corporation Tax Returns and pay any applicable tax. You should check HMRC guidance or speak to an accountant about the specific circumstances.

Late-filing penalties can apply if required accounts are not submitted by the statutory deadline, and dormancy does not automatically protect a company from these consequences. The amount of any penalty depends on the length of the delay and other factors. Where a penalty has been issued, it may be possible to appeal in certain circumstances, but acceptance of an appeal is never guaranteed. If you have missed a deadline, we can help bring your dormant company accounts up to date.
