Dormant company accounts are the annual accounts that an eligible dormant limited company must prepare and file with Companies House. They are based on the company’s accounts for a period in which it has had no significant accounting transactions. Even though the company has little or no activity, the accounts still need to meet the applicable Companies House requirements. If your company qualifies, the accounts may be simpler than full statutory accounts, but they must still be filed on time.
Yes, generally. A company that is dormant for accounting purposes still normally needs to file dormant company accounts with Companies House for each accounting period, unless a specific exemption applies. Dormancy does not remove the filing requirement. If the company also qualifies as a micro-entity, it may be able to prepare accounts under the micro-entity framework, but the filing obligation remains.
Some dormant companies may also qualify as micro-entities under the Companies Act. When a company qualifies as a micro-entity, it can prepare its accounts using the micro-entity reporting framework. However, not every dormant company is automatically a micro-entity. Eligibility depends on factors such as the company’s size and accounting period. We can review your circumstances and prepare the appropriate accounts, whether that is dormant accounts under the applicable framework or micro-entity accounts if you are eligible.
Being dormant for Companies House purposes relates to the company’s accounting activity and whether it has had any significant accounting transactions. HMRC, on the other hand, has its own test for dormancy for Corporation Tax purposes. A company may be considered dormant by Companies House but still be required to file Corporation Tax Returns with HMRC, unless HMRC has confirmed that a return is no longer required for the company. The two systems are separate, so it is important to check both sets of obligations. We can help you understand your position.
Yes. A confirmation statement is a separate filing from dormant company accounts. It is submitted to Companies House at least once every 12 months and confirms that the company’s registered information is up to date. A dormant company is not exempt from this requirement. If you need help, we can assist with preparing and submitting your confirmation statement as part of your compliance support.
If a company is required to file its accounts with Companies House and does so after the statutory deadline, it may be subject to an automatic late-filing penalty. The amount depends on how late the accounts are filed and whether the company has been late before. Dormant status does not automatically protect a company from penalties, and filing after the deadline does not remove the need to file the outstanding accounts. If your accounts are already late, we can help you prepare and file them as soon as possible.
To prepare dormant company accounts, we generally need the company’s details such as its registered name, registered number, registered office address, the accounting period, and details of any prior accounts filed. If the company is applying for a specific dormant exemption, we may also confirm that there have been no significant accounting transactions for the period.
