When Are Dormant Company Accounts Required?

A company is not automatically dormant simply because it has had no sales, no employees or no activity. Under the Companies Act 2006, a company is usually considered dormant for Companies House purposes if it has no significant accounting transactions during the period. This includes most companies that have not yet started trading, have stopped trading, or are holding companies with no income or expenditure. However, dormancy is not a blanket exemption from filing annual accounts. A dormant company may still need to file its annual accounts with Companies House, and it generally also remains responsible for keeping its confirmation statement up to date. Separately, HMRC operates its own dormancy rules for Corporation Tax, so being dormant for Companies House does not automatically mean the same for tax purposes. A Company May Be Dormant If:

Dormant company accounts are annual accounts prepared for a company that is dormant for accounting purposes. They are filed with Companies House and must meet the applicable requirements under company law. Even though the company has not had significant accounting transactions, the accounts still need to be prepared and submitted on time if the company is not exempt.

Yes, generally speaking. Unless a specific exemption applies, a dormant company still needs to file its annual accounts with Companies House. Dormant status does not remove this obligation. There are simplified reporting options for some dormant companies, but filing is still required. We can confirm what applies to your company.

Companies House and HMRC use different tests for dormancy. Being dormant for Companies House is based on the company's accounting transactions, while being dormant for Corporation Tax depends on whether the company has any Corporation Tax obligations and whether HMRC has agreed that no CT600 returns are needed. You can be dormant for one and not the other. It is important to notify HMRC separately if your company ceases trading or becomes dormant for tax purposes, and to file accounts with Companies House as required.

Some dormant companies may be able to use the micro-entity reporting framework if they satisfy the qualifying conditions, such as being a micro-entity under the Companies Act. However, not all dormant companies are micro-entities, and dormancy does not automatically mean the company qualifies. We can review your eligibility and prepare accounts on the correct framework.

Yes, unless an exemption applies, a dormant company typically still needs to submit a confirmation statement to Companies House every year. The confirmation statement is separate from the annual accounts, and filing dormant accounts does not replace it.

To prepare dormant company accounts, we generally need details of the company, including its registered office, directors, shareholders, and any transaction history. Even if the company has no significant transactions, we need to confirm that no activity has occurred during the accounting period. Companies House may issue a late-filing penalty if the accounts are submitted after the statutory deadline. Dormant status does not automatically protect a company from these penalties.
