When Can a Company File Dormant Company Accounts?

A company is not automatically dormant just because it has had no sales, no employees or no current trading activity. For Companies House purposes, a company is generally considered dormant if it has had no significant financial transactions within the accounting period. However, this can depend on the company’s own circumstances and the applicable accounting rules. Even where a company is dormant, it may still need to file its annual accounts and submit a confirmation statement to Companies House. HMRC uses a separate test for Corporation Tax dormancy, and filing dormant accounts does not automatically tell HMRC that a company is dormant. With dormant company accounts, the format and submission requirements differ from those for an active company, but the obligations remain. Dormant company accounts are the statutory annual accounts filed with Companies House for a limited company that is dormant during the relevant accounting period. They show that the company has had no significant accounting transactions. Depending on the company’s circumstances, different reporting formats may be available – for example, some qualifying dormant companies may use the micro-entity framework. Dormant accounts are still a filing requirement and do not mean a company can ignore its statutory obligations.

Yes, in most cases. Dormant status does not remove the requirement to file annual accounts, and a specific exemption must apply for filing to be avoided. Even where the accounts are simpler, they must still be prepared and submitted by the company’s statutory deadline. A dormant company will usually need to send accounts to Companies House, along with other filings such as a confirmation statement where due.

Some dormant companies also qualify as micro-entities under the Companies Act, which means they can prepare accounts under the micro-entity reporting framework, such as FRS 105.
