A company is typically dormant if it has no significant accounting transactions in the financial year. The accounts must be prepared and filed in accordance with the Companies Act, even for a company that has no trading activity. Dormant company accounts are not simply a box-ticking exercise; they must meet the statutory requirements while reflecting the company's dormant position.
Yes. A dormant company is generally required to prepare and file annual accounts with Companies House each financial year, unless a specific exemption applies. The fact that a company is dormant does not remove its annual filing obligation. The accounts must be delivered before the statutory deadline to avoid late-filing consequences. If you are unsure whether your company qualifies as dormant or whether an exemption might apply, it is best to seek professional advice before the deadline.
Dormant for Companies House relates to the company's obligation to file statutory accounts. Dormant for Corporation Tax is a separate status considered by HMRC. It is possible for a company to be dormant for Companies House but not for Corporation Tax, or the other way around. Filing dormant company accounts with Companies House does not automatically notify HMRC. If a company is dormant for Corporation Tax purposes, it may need to notify HMRC separately, and subject to HMRC's rules, it may not need to file future Corporation Tax Returns. Both positions should be checked carefully.
Yes. A confirmation statement is separate from the annual accounts. It is filed with Companies House to confirm that information on the register - such as directors, registered office and shareholders - is accurate and up to date. Most dormant companies will still need to submit a confirmation statement at least once every 12 months. Complying with the annual accounts requirement does not replace the confirmation statement obligation.
Some dormant companies may be eligible to use the micro-entity reporting framework, but eligibility is not automatic. The company must meet the qualifying conditions, such as the relevant size thresholds for micro-entities. Dormancy and micro-entity status are different concepts.
