When Can a Berkshire Company File Dormant Company Accounts?

A company may be able to file Dormant Company Accounts if it meets the relevant dormancy tests under the Companies Act and has no significant accounting transactions during the period. This could include a company that has not yet started trading, one that has stopped trading, or a holding company that is not otherwise active. However, dormancy is not automatic simply because there are no sales or low activity — the specific rules and your company’s circumstances determine eligibility. Even where a company is dormant for Companies House purposes, it is still usually required to file annual accounts and may need to submit a confirmation statement. In addition, dormancy for Companies House is separate from dormancy for Corporation Tax with HMRC. Filing dormant accounts does not automatically tell HMRC that your company is dormant for tax purposes, and your Corporation Tax obligations depend on your company’s own position. A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

Dormant company accounts are the annual accounts prepared for a company that is dormant for Companies House accounting purposes. They are typically prepared in a simplified form and show that the company had no significant accounting transactions during the relevant period. Even though the accounts are simplified, a dormant company must still file them with Companies House by the applicable deadline unless a specific exemption applies.

Yes, in most cases. A company that is dormant still has a statutory obligation to file annual accounts with Companies House unless it qualifies for an exemption. Dormancy does not remove the filing requirement, and failing to file can lead to late-filing consequences. Our accountants can confirm what filing obligations apply to your particular company.

Some dormant companies may qualify to file micro-entity accounts if they meet the micro-entity size criteria under UK company law. Dormancy and micro-entity status are separate matters, so not every dormant company will automatically qualify. Being dormant for Companies House purposes means your company has had no significant accounting transactions and you are required to file dormant accounts with Companies House. Being dormant for Corporation Tax purposes means your company may be exempt from filing Corporation Tax Returns after notifying HMRC, but that is a separate process. The two definitions are not automatically linked, and filing dormant accounts with Companies House does not inform HMRC about your company's tax position.

Yes. A confirmation statement is a separate filing with Companies House that confirms your company's registered information, such as its directors, registered office and shareholders. This is required at least once every 12 months, even for dormant companies. Filing dormant accounts does not replace the need to submit a confirmation statement.

If a dormant company fails to file its annual accounts by the statutory deadline, Companies House may issue a late-filing penalty. The amount of the penalty depends on how late the accounts are, and dormancy does not automatically protect the company. Paying a penalty does not remove the obligation to file the outstanding accounts. If you have a reasonable excuse, an appeal may be possible, but it depends on the specific circumstances.
