Dormant company accounts are annual accounts prepared for a company that meets the dormancy criteria under the Companies Act. They must be filed with Companies House unless a specific exemption applies. Although dormant accounts are usually simpler than full accounts, they still need to follow the correct legal format and show the company's financial position at the end of the accounting period. An eligible dormant company may use the micro-entity framework if it qualifies.
Yes, generally. A dormant company normally still needs to file dormant accounts with Companies House each year. Dormancy does not remove the legal obligation to deliver accounts. The content will depend on the company's status and any exemptions available. In addition, the company may still need to file confirmation statements and, for Corporation Tax purposes, deal with HMRC separately.
Many dormant companies also meet the size criteria for micro-entities, but this is not automatic. A company may be dormant but not satisfy all the micro-entity conditions, or it may be a micro-entity but not dormant. If a dormant company does qualify for the micro-entity reporting framework, it may prepare accounts using FRS 105, according to the applicable requirements. Companies House and HMRC look at different factors. Dormancy for Companies House relates to whether the company has significant accounting transactions. Dormancy for Corporation Tax purposes depends on whether the company is trading, receiving income, or otherwise within the charge to Corporation Tax. A company can be dormant for Companies House but still need to notify HMRC of its Corporation Tax position. Similarly, a company can be dormant for Corporation Tax but still required to file annual accounts with Companies House.
Yes, in most cases. A confirmation statement is a separate Companies House filing from dormant accounts. It is used to keep company information up to date, such as directors, registered office and shareholders. Dormancy does not remove this requirement. If you are not sure when your confirmation statement is due, our filing reminder process can help you stay on top of it.
Not necessarily. If a company is dormant for Corporation Tax purposes and HMRC has confirmed that it no longer needs to file Corporation Tax Returns, then none may be due. However, filing dormant accounts with Companies House does not automatically tell HMRC that the company is dormant. If your company has been active for Corporation Tax or HMRC has not been contacted, you may still need to file a CT600 or notify HMRC of your company's dormant status. We can advise based on your exact circumstances.
Companies House can impose late-filing penalties on dormant companies, just as it can on active companies. The level of penalty depends on how late the accounts are delivered. A penalty does not take away the need to file the outstanding accounts. Yes. A company that has never traded, such as a newly incorporated or shelf company, can often be treated as dormant for accounting purposes.
