We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can You File Dormant Company Accounts in Battle?

Under the relevant accounting and Companies House rules, a company may be considered dormant if it has no significant accounting transactions during the accounting period. This might apply to companies that have not yet started trading, have stopped trading, are holding companies, or are being kept for future use. However, dormancy is not determined simply by low turnover or a lack of customers – the company’s specific circumstances must be reviewed. Even if a company is dormant for Companies House purposes, it generally still has to file annual accounts unless a specific exemption applies, and it may also need to submit a confirmation statement. It is also important to distinguish between dormancy for Companies House and dormancy for HMRC Corporation Tax purposes; a company may be treated differently by each. We can review your situation and advise on what filing obligations remain for your dormant company in Battle.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant Company Accounts FAQs

Still unsure where you stand? Reach out to our UK team at info@microentityaccounts.co.uk and we will review your filing history with you.

Dormant company accounts are accounts prepared for a company that is considered dormant under the Companies House rules. They show that the company has had no significant accounting transactions during the relevant period. If the company qualifies, it may be able to use a simplified filing format. Dormant company accounts must still meet the statutory requirements and be filed with Companies House where applicable.

Yes, in most cases. Dormancy for Companies House purposes does not automatically remove the requirement to file annual accounts. A dormant company generally needs to file the required accounts each year unless a specific exemption applies. Our accountants can confirm whether a company is exempt and, if not, prepare the accounts for submission.

Some dormant companies may qualify as micro-entities under the Companies Act, allowing them to prepare and file accounts using the micro-entity reporting framework. Eligibility depends on the company's size, legal structure and accounting period. Dormancy and micro-entity status are not the same thing, so each company's circumstances must be checked. We can help determine the correct reporting framework.

These are separate tests. A company is dormant for Companies House purposes if it has no significant accounting transactions, while HMRC's rules for Corporation Tax dormancy are different. A company might be dormant for Companies House but still need to notify HMRC or file a Corporation Tax Return, depending on its Corporation Tax treatment. Filing dormant company accounts with Companies House does not automatically inform HMRC. We can advise on both obligations.

Yes. The confirmation statement is separate from annual accounts and is used to keep Companies House information up to date, such as directors, shareholders and registered office details. Even a dormant company generally needs to submit a confirmation statement at least once every 12 months, unless it has taken steps to be struck off or dissolved. We can remind you of these requirements.

If a dormant company does not file its required accounts by the applicable Companies House deadline, it can face late-filing penalties. Dormancy does not automatically protect a company from penalties, and the amount can vary depending on the circumstances. If accounts are already overdue, filing them as soon as possible is the first step. We can help bring your filing up to date and discuss options.

To prepare dormant company accounts, we typically need the company's details, previous accounts if applicable, and information about any significant transactions during the period. If the company has had no such transactions, the accounts are relatively simple. We will also need to know whether the company qualifies for exemption and which reporting framework applies. Our team will guide you through the process.
