I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can You File Dormant Company Accounts in Abinger Hammer?

Dormancy is not simply about having no sales or no current activity. For Companies House purposes, a company is generally considered dormant if it has no significant accounting transactions during the financial year. This can include companies that have not yet started trading, that have stopped trading, or that are retained for future use. That said, being dormant does not automatically exempt a company from filing annual accounts or confirmation statements. HMRC applies its own test for Corporation Tax dormancy, and a company may need to notify HMRC separately. We help directors in Abinger Hammer review whether dormant accounts are appropriate for their company’s individual circumstances.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are the annual accounts a company must prepare and file with Companies House when it has no significant accounting transactions during the financial year. For Companies House purposes, a company is generally dormant if it has not had any of these transactions. They are distinct from a full set of trading accounts and are subject to their own rules. Even a dormant company usually still has to file accounts unless a specific exemption applies.

Yes, in most cases. Dormancy does not automatically remove the requirement to file annual accounts. A company that is dormant for Companies House purposes must still prepare and deliver accounts for each financial year unless an exemption applies. Filing dormant accounts is a separate obligation from filing a confirmation statement, keeping company records up to date, or dealing with any Corporation Tax obligations that may apply.

Some dormant companies may also qualify as micro-entities, which allows them to use the micro-entity reporting framework and potentially file simpler accounts. Eligibility depends on the company's size, legal structure and the applicable accounting requirements. Dormant status and micro-entity status are separate, so we review your circumstances to ensure the correct framework is used.

Companies House and HMRC apply different tests. A company can be dormant for Companies House purposes and still be active for Corporation Tax purposes, or vice versa. Being dormant for Companies House does not automatically make a company dormant for HMRC. For Corporation Tax, a company may need to notify HMRC if it believes it is dormant for tax, but this must be considered against its own tax position. Filing dormant accounts with Companies House does not automatically update HMRC.

Yes. A confirmation statement is a separate annual filing with Companies House, distinct from dormant company accounts. A dormant company generally still needs to submit a confirmation statement to keep its registered office, directors, shareholders and other information up to date. It does not replace the requirement to file accounts, and both obligations may need to be met.

Companies House may issue late-filing penalties if required accounts are not delivered by the statutory deadline. Dormant status does not protect a company from these penalties. The penalty amount depends on how late the accounts are and other circumstances. If you have outstanding accounts, filing them as soon as possible is essential. Any appeal or application for mitigation is subject to Companies House rules and individual circumstances.

Yes, a company that has never traded may be eligible to file dormant accounts if it has had no significant accounting transactions. This is common for companies incorporated for future use or as holding companies with no activity. However, dormancy must be assessed against the relevant rules, and other obligations such as the confirmation statement and any applicable Corporation Tax notifications still need to be considered.
