Dormant company accounts are annual accounts prepared for a limited company that is dormant for Companies House purposes. They are filed with Companies House in accordance with the Companies Act, and they report that the company has had no significant accounting transactions during the period. Filing dormant accounts does not remove the company's other obligations, such as submitting a confirmation statement or dealing with HMRC on Corporation Tax matters.
In most cases, yes. A company that is dormant for Companies House purposes will generally still have a legal obligation to file annual accounts unless it qualifies for a specific exemption. Dormant status does not mean the company is exempt from preparing and filing accounts. A qualified accountant can help you identify whether an exemption applies, but it should not be assumed simply because the company has no sales or is not presently trading.
These are separate tests. A company may be dormant for Companies House purposes but still have Corporation Tax obligations to HMRC. HMRC dormancy for Corporation Tax purposes is considered separately and may require the company to be formally notified, depending on its circumstances. Even if a company is no longer required to file Corporation Tax Returns once HMRC has confirmed that, the company must continue to satisfy its Companies House filing requirements, including annual accounts and confirmation statements.
Generally yes. The confirmation statement is a separate filing with Companies House and is not replaced by dormant company accounts. It confirms the company's registered office, directors, shareholders and other information. Every UK company, including most dormant limited companies, is expected to keep its Companies House information up to date and submit a confirmation statement at least once every 12 months unless an exemption applies.
Some dormant companies may also qualify as micro-entities under the accounting framework, but dormancy and micro-entity status are not the same thing. Eligibility depends on factors such as the company's size, turnover, balance sheet totals and number of employees for the relevant period. Where a dormant company qualifies, it may be able to use the micro-entity reporting framework, but that decision should be made with reference to the applicable requirements and after confirming the company's legal structure and accounting period.
If a company fails to file its annual accounts with Companies House by the statutory deadline for its accounting period, it may face late-filing penalties. Dormant status does not automatically protect the company from this outcome. The amount of any penalty and whether an appeal is possible will depend on the circumstances and Companies House rules. Filing the outstanding accounts as soon as possible is important, but it does not automatically remove a penalty if one has already been issued.
