Dormant company accounts are the statutory accounts prepared for a limited company that is dormant for Companies House purposes. Dormant status can apply, for example, if the company has not yet started trading, has stopped trading, or has had no significant accounting transactions in the relevant period. Even a dormant company must file the required accounts with Companies House each year. The form and content of the accounts depend on the company's circumstances and whether an exemption applies.
Yes, generally. Unless a specific exemption applies, a dormant company must still prepare and file annual accounts with Companies House by the statutory deadline. Being dormant does not remove this obligation. If required accounts are not filed on time, the company could face late-filing penalties. The accounts filed will often be simpler than those of an active company, but they must still meet the applicable requirements.
Dormant for Companies House means the company has no significant accounting transactions for Companies House reporting purposes. Dormant for Corporation Tax is a separate test applied by HMRC, usually where a company is not trading and has no income or other taxable activity. If a company is dormant for Corporation Tax purposes, it may need to notify HMRC, and may stop filing Corporation Tax Returns once HMRC confirms no return is required. Yes. A confirmation statement is a separate requirement from dormant company accounts. It confirms that the company's registered details, such as directors, registered office and shareholders, are accurate, or records any changes. Dormant companies generally still need to file a confirmation statement at least once a year unless an exemption applies. Filing accounts does not replace the confirmation statement, and you must keep Companies House information up to date.
Not necessarily, but it depends on the company's Corporation Tax position. If the company is dormant for Corporation Tax and HMRC has agreed that no returns are needed, there may be no further CT600 filing requirement. However, if HMRC requires a return or the company has not been formally notified as dormant for Corporation Tax, a return may still be needed. This is separate from filing dormant company accounts with Companies House. We can advise on whether a Corporation Tax Return is required in your circumstances.
Some dormant companies may qualify as micro-entities and can therefore use the micro-entity reporting framework, provided they meet the relevant eligibility criteria. Micro-entity status is not automatic and it is not the same as dormancy. A company may be dormant for Companies House purposes but not qualify as a micro-entity, or vice versa. The appropriate framework depends on the company's legal structure, financial position and the reporting rules that apply to its accounting period.
If a dormant company fails to file its accounts by the Companies House deadline, it may receive a late-filing penalty. Dormant status does not automatically protect a company from this. The penalty amount varies and depends on how late the accounts are filed. Paying any penalty does not remove the need to file the outstanding accounts. If a penalty has been issued, you may be able to appeal in certain limited circumstances, depending on the reasons and the applicable rules.
