We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.Posted on Google![]()

When Can You File Dormant Company Accounts in Abberley?
A Company May Be Dormant If:
It has been incorporated but has not started trading.
Trading has stopped and the company has no relevant ongoing activity.
Its only transactions are those that Companies House disregards when determining dormancy.
It is being retained for a future business purpose, subject to its actual activities and transactions.

We file and confirm
Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant Company Accounts are a simplified set of annual accounts prepared for a limited company that is dormant for Companies House purposes. They are filed with Companies House and show that the company has had no significant accounting transactions during the period. Preparing and filing Dormant Company Accounts correctly is important because it keeps your company's records up to date and avoids late-filing penalties. A dormant company is still an active legal entity on the register.
Yes, in most cases. Dormancy does not remove the need to file annual accounts with Companies House. Unless a specific exemption applies, a dormant company must prepare and file a set of Dormant Company Accounts each year. If you are uncertain whether your company qualifies as dormant or whether you need to file accounts, an accountant can review your circumstances and confirm the position. Failing to file required accounts on time can lead to penalties and the company being struck off.
Some dormant companies may also qualify as micro-entities, depending on their size and eligibility. If eligible, the company may be able to use the micro-entity reporting framework, which offers the simplest form of statutory accounts. However, dormancy and micro-entity status are not the same thing. Not every dormant company automatically qualifies as a micro-entity. It is important to check your company's individual circumstances before selecting the correct reporting framework. We can help you determine which option applies and prepare the appropriate accounts.
The two types of dormancy are assessed using different rules. A company that is dormant for Companies House purposes has had no significant accounting transactions to report. Being dormant for Corporation Tax purposes is a separate matter. HMRC may still expect your company to submit a Corporation Tax Return until it has agreed that the company is no longer required to do so. Filing Dormant Company Accounts with Companies House does not automatically tell HMRC your company is dormant for tax purposes, so it is essential to check both obligations separately.
Yes. A confirmation statement is separate from Dormant Company Accounts and is usually required every year. It confirms that the information Companies House holds about your company, such as directors and registered office, is correct. Filing Dormant Company Accounts does not replace the confirmation statement, so you must keep both obligations in mind. If you need help preparing your confirmation statement or updating company records, we can assist.
It depends on the company's Corporation Tax status. If HMRC accepts that the company is dormant for Corporation Tax purposes, it may not require further Corporation Tax Returns, but this must be agreed with HMRC. If the company has been trading or is a property company, HMRC may still expect returns. We recommend reviewing your Corporation Tax position before assuming no return is needed. Our accountants can help you communicate with HMRC and understand what applies to your dormant company.
Dormant companies are not exempt from Companies House late-filing penalties. If the required accounts are submitted after the deadline, the company may face a penalty, and the directors may be at risk if the accounts remain outstanding. Filing late does not remove the need to file the accounts. If you have overdue accounts, it is always best to bring them up to date as soon as possible. We can help you prepare and file the outstanding Dormant Company Accounts and discuss the situation with Companies House if needed.
Preparing Dormant Company Accounts is usually straightforward, but you need the company's details such as the registered number, registered office, director names and shareholder information. Because there are no significant transactions, the accounts will typically show only the minimum required disclosures. We do not need your full bookkeeping records in the same way we would for an active company. However, we do need to confirm that the company has genuinely had no qualifying transactions during the accounting period. We will guide you through the process and ensure the accounts meet current requirements.
