It is not a financial document — it does not contain profit figures, and it is not the same thing as annual accounts or a Corporation Tax Return.
Most UK limited companies need to file one, including companies registered in Nottingham. That applies whether the company is actively trading, dormant or not currently trading. Because the requirement depends on the company's specific circumstances, it is worth checking your company's own record at Companies House if you are unsure whether a filing is due.
In most cases, yes. Dormancy generally affects your tax position and whether you need to file accounts or a Corporation Tax Return, but it does not normally remove the confirmation statement requirement. You can file more than one confirmation statement during a review period if your information changes and you want the public record updated sooner. The confirmation statement cycle is separate from your accounting period and your annual accounts deadline.
It is worth reviewing your registered office address, your directors and company secretary details, your shareholders and statement of capital, your people with significant control (PSCs), and your SIC codes. Some changes cannot be made through the confirmation statement itself — for example, appointing a director or changing the registered office usually needs to be reported to Companies House separately using the relevant form. In those cases, you report the change first and the confirmation statement then confirms the updated position.
They are three separate filings with three separate purposes. Annual accounts report the company's financial position for an accounting period and go to Companies House. A Corporation Tax Return (CT600) is filed with HMRC to report taxable profits and work out the Corporation Tax due. The confirmation statement goes to Companies House and contains no financial or tax information at all — it simply confirms that the company's registered details are correct. Filing one does not satisfy the others.
Companies House takes the confirmation statement seriously, and failing to file when one is due can lead to enforcement action. Continued failure can put the company at risk of being removed from the register. The details on the public record also become unreliable, which can cause problems when lenders, banks or customers check your company.
