Most UK companies registered at Companies House need to file a confirmation statement, and that applies to companies based in Leeds in exactly the same way as anywhere else in the UK. It is normally required whether the company is actively trading, dormant, or not trading at all. The requirement is attached to the company's registration, not to whether it has made money or filed accounts.
UK companies generally need to file a confirmation statement at least once every 12 months, even if the company is dormant or not trading. This 12-month cycle is based on the company's review period at Companies House and is separate from your accounting period and your annual accounts deadline. Yes. Being dormant or not trading does not normally remove the requirement to file a confirmation statement. A dormant company still needs to confirm that its Companies House information is accurate, although there is often less to update than for an actively trading business. It is worth remembering that dormant status affects what you report elsewhere — for example in your accounts and tax position — but it does not switch off the confirmation statement requirement.
They are two separate filings with different purposes. Annual accounts are the company's financial statements and contain figures such as assets, liabilities, and profit or loss for the accounting period. A confirmation statement contains no financial figures at all — it simply confirms that the information Companies House holds about the company is correct. That is why filing one does not satisfy the requirement to file the other, and the deadlines for each are calculated differently.
A Corporation Tax Return, usually filed as a CT600, goes to HMRC and deals with the company's taxable profits and tax position. A confirmation statement goes to Companies House and deals with the accuracy of the company's register information. They are filed with different authorities, for different reasons, and on different schedules. Filing a confirmation statement does not mean your Corporation Tax Return has been dealt with, and vice versa.
If a confirmation statement is not filed, Companies House can take action against the company, and in serious cases the company can be struck off the register. Failure to file is treated as an offence, and the directors can face consequences as a result. The practical point is simple: treat the filing as an ongoing obligation and deal with it as soon as the review period comes around, rather than leaving it until the register details become out of date.
