You can also file more than one confirmation statement within a review period if something has changed and you want the register updated sooner.
The confirmation statement confirms the position at a given date, so it is a natural moment to check your registered office address, directors and secretary details, shareholders and share capital, people with significant control, SIC codes and your registered email address. Some changes — for example appointing or removing a director, changing a registered office, or issuing new shares — need to be reported to Companies House separately, using the relevant form, rather than being left until the confirmation statement is due.
Yes, in most cases. Being dormant or not trading does not normally remove the requirement to file a confirmation statement. Dormant companies still have to keep their Companies House information accurate, and the confirmation statement is the filing that does exactly that. It is worth remembering that the confirmation statement is separate from any dormant company accounts you may also need to file.
They are three distinct filings with different purposes. A confirmation statement confirms that the information Companies House holds about your company is correct. Annual accounts set out your company's financial position and performance for an accounting period and go to Companies House. A Corporation Tax Return (CT600) reports your company's tax position to HMRC. Filing one does not satisfy the others, and their deadlines are calculated differently.
If a confirmation statement is not filed when it is due, Companies House can take further action, and repeated failure to file can ultimately lead to the company being struck off the register. Unlike annual accounts, the confirmation statement does not carry the same style of late filing penalty, but that does not make it optional. Keeping on top of your filing dates, or having someone else keep track of them for you, is the simplest way to avoid the problem.
