Where required, those accounts are then filed with Companies House. The exact content depends on the company's size, circumstances and any exemptions that apply, so annual accounts are not identical for every company.

UK limited companies generally have annual accounts filing responsibilities with Companies House, subject to the company's individual circumstances and any applicable exemptions. This can include micro-entities, dormant companies, one-director companies and other eligible small limited companies. The format and level of detail filed can vary depending on company size, the accounting period involved, dormant status and the accounting framework used. If you are unsure whether a filing obligation applies to your company, it is worth checking the position for your specific circumstances.

The deadline depends on the company's circumstances and its accounting period. Private companies generally have a Companies House filing deadline based on their accounting reference period, and first accounts can follow different rules from later ones. Because deadlines are company-specific, the exact date should always be checked for the individual company rather than assumed. Missing the relevant deadline can lead to late filing penalties being imposed by Companies House.

Depending on the company's size and the applicable reporting requirements, annual accounts may include a balance sheet, a profit and loss account, notes to the accounts and other required statements or information. Smaller companies and micro-entities often prepare and file a reduced set, while larger companies may need to include more detail. The information included and made publicly available can depend on company size, the accounting framework applied, available exemptions and current Companies House requirements.

No. Annual accounts filed with Companies House are separate from a Company Tax Return (CT600) submitted to HMRC. Information from the accounts may be used when preparing the company's Corporation Tax computation and CT600, but filing annual accounts with Companies House does not itself constitute filing a Corporation Tax Return with HMRC, and the two have different deadlines. Annual accounts are also different from a confirmation statement, which confirms company details rather than reporting financial performance.

Dormant companies may still have annual accounts filing responsibilities with Companies House, even where there has been little or no financial activity. Being dormant for Corporation Tax purposes does not automatically mean the company is exempt from filing annual accounts with Companies House. Dormant accounts are often simpler, but what is required still depends on the company's circumstances, its accounting period and the exemptions available to it.

A company may qualify for the micro-entities regime and may prepare accounts using FRS 105 where the regime is applicable and chosen, which can mean a shorter, simpler set of accounts. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least two of three conditions to qualify: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average number of employees of no more than 10. These conditions are subject to applicable rules and exclusions, so meeting the figures does not automatically mean a company qualifies.

Companies House can impose late filing penalties when annual accounts are filed after the relevant deadline, and the level of penalty generally increases the longer the accounts remain outstanding. These penalties relate to Companies House annual accounts filing, not to HMRC Corporation Tax Returns, which have their own separate deadlines and penalty regime. If a deadline is approaching, it is worth seeking support early so the accounts can be prepared and submitted without unnecessary delay.
