Annual accounts are the statutory financial statements a company prepares for a specific accounting period. They give a picture of the company's financial position and performance, showing what it owns, what it owes and how it has traded, and they are prepared under the accounting framework that applies to the company. Once approved by the directors, they may need to be filed with Companies House as part of the company's Annual Accounts Filing responsibilities.
Most UK limited companies registered at Companies House have an Annual Accounts Filing obligation, including micro-entities, dormant companies, one-director companies and other eligible small companies. What differs is the type and content of the accounts and whether any exemptions apply. A company's size, accounting period and individual circumstances all affect what must be filed, so it is worth checking the position for your own company rather than assuming every company files in the same way.
The deadline depends on the company's accounting period and circumstances, and not every company shares the same filing date. For many private companies the Companies House filing deadline is based on the accounting reference period, and first accounts can follow a different timescale, so check the exact date that applies to your company rather than relying on a general rule. Companies House can impose late filing penalties where accounts are filed after the relevant deadline, and those penalties relate to Companies House annual accounts filing rather than to HMRC Corporation Tax Returns.
It depends on the company's size and the accounting framework used. A set of annual accounts may include a balance sheet, a profit and loss account, notes to the accounts and other required statements or disclosures depending on the company's reporting requirements. Smaller companies often file less detail than larger ones, so the information made publicly available at Companies House varies from company to company. Micro-entity accounts prepared under FRS 105, for example, contain a more limited set of information than full statutory accounts.
Companies that qualify for the micro-entities regime may be able to prepare and file simpler accounts, often using FRS 105 where the regime applies and the company chooses it. Qualification depends on meeting the relevant size conditions and on any applicable rules or exclusions. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least two of three conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average number of employees of no more than 10. Meeting those figures does not automatically mean the regime applies, so eligibility should always be checked.
No. Annual accounts are prepared and filed with Companies House, while a CT600 is the Company Tax Return submitted to HMRC. They are separate documents with separate requirements and separate deadlines. Information from the accounts is often used when preparing the company's Corporation Tax computation and CT600, but filing annual accounts with Companies House does not itself constitute filing a Corporation Tax Return with HMRC.
No, these are different obligations. A confirmation statement confirms that the information Companies House holds about the company, such as its directors, shareholders and registered office, is up to date, and it is filed separately from the accounts. Annual Accounts Filing deals with the company's statutory accounts for the accounting period. A company may need to keep both up to date, alongside any other filing and tax obligations that apply to it.
A dormant company can still have Annual Accounts Filing responsibilities with Companies House. Being dormant for Corporation Tax purposes does not automatically mean the company is exempt from filing annual accounts with Companies House. Dormant companies often file simpler or dormant accounts, but what is actually required depends on the company's situation and the exemptions available, so it is worth confirming the position before assuming nothing needs to be filed.
