What Are First Year Accounts for a Micro Company, and When Does the Micro-Entity Framework Apply?

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company is new. When a company is incorporated, Companies House sets an accounting reference date for it, and the first accounting period generally runs from the date of incorporation to that first accounting reference date. From there, subsequent accounting periods tend to follow on annually, although the first period is often longer or shorter than twelve months and the applicable filing arrangements reflect that. Because the first period is calculated by reference to the incorporation date, the accounting reference date and the resulting filing requirements can differ from one company to another — two companies incorporated in the same month may not share the same first-year position. The purpose of first-year statutory accounts is to present the company’s financial position and performance for that first period in the format required by company law. A typical set includes a balance sheet, and a profit and loss account where applicable, together with the supporting notes and statements required by the relevant reporting framework. The directors remain responsible for ensuring the company meets its statutory obligations, and for confirming that the accounts give a proper picture of the company’s affairs, even when an accountant has been engaged to prepare and file them. Where Companies House filing fits in Statutory accounts are generally delivered to Companies House where required. Companies House is the registry that receives and holds the filings; it does not prepare the accounts, and it does not assess whether an accountant has been involved in preparing them. Filing the accounts also does not, by itself, complete the company’s other compliance obligations, so it is worth keeping the wider picture in view. Micro-entity reporting and FRS 105 A limited company may be able to prepare accounts under the micro-entity framework if it meets the eligibility requirements that apply in company law for the relevant accounting period, and FRS 105 is the financial reporting standard used by qualifying entities that report under that framework. Eligibility is based on the company’s circumstances and the applicable criteria, so it is not automatic. Some companies instead fall within the small-company regime and report under a different standard, and others need full accounts. The right framework is a decision to be made for each company and each accounting period rather than assumed at incorporation. How this differs from Corporation Tax and confirmation statements First-year statutory accounts, a Corporation Tax Return such as a CT600, and a confirmation statement are three separate things. Statutory accounts are prepared for the company and filed with Companies House where required. A CT600 is submitted to HMRC where the company has Corporation Tax obligations, and the accounting information from the accounts may be used when working out the company’s tax position, but the two filings have different purposes and different destinations. A company’s first Corporation Tax accounting period is not necessarily identical to its statutory accounts period. A confirmation statement is separate again: it confirms that the information Companies House holds about the company is up to date and does not replace the accounts.

They are a legal requirement for the company, not an optional exercise for a business that has just started out.

The filing date depends on the company's accounting reference date and the rules that apply to a first accounting period, which can differ from the deadlines that apply in later years. Because the first period is calculated from the incorporation date, companies incorporated at different times will not share the same deadline. We can confirm the relevant date for your company based on its own records, and it is sensible to check the position well before the filing date rather than assume the first year follows the same pattern as the years after it.

It depends on what the company has actually done since incorporation. Typically we look at bank transactions and bank statements, sales or income records, business expenses and purchase invoices, asset purchases, director transactions such as expenses paid personally or money introduced, share capital information, any loans or finance arrangements, and payroll or VAT records where those apply. A company with very little activity will have far fewer records than one that has been trading throughout the period, and we work with whatever is relevant to your circumstances.

In most cases, yes. A limited company is generally required to prepare and deliver statutory accounts to Companies House where required, and that obligation does not disappear simply because the company is new, has traded only briefly or has not yet started trading. Companies House receives the filing but does not prepare the accounts or verify how they were produced. If you are unsure whether your company's first accounts need to be filed, or whether a different reporting position applies, it is worth checking before the relevant date passes.

A company can still have statutory filing obligations even where it has seen limited activity or has not yet commenced trading, and the correct reporting position depends on the specific circumstances and the applicable rules. A company with no significant accounting transactions is not automatically described as dormant — dormancy has its own conditions and consequences. Rather than assume the accounts are unnecessary, it is better to review the company's position and confirm what needs to be prepared and filed.

Paying any penalty that arises does not remove the need to file the outstanding accounts.
