What Are First Year Accounts for a Micro Company, and Why Do Wirral Directors Need Them?

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. For statutory accounts purposes, that period generally runs from the date of incorporation to the company’s first accounting reference date, although the length of the period and the resulting filing date vary from company to company depending on the incorporation date and the details held at Companies House. The accounts normally include a balance sheet and, where applicable, a profit and loss account or income statement, plus the notes and disclosures required by the reporting framework the company uses. They are required because every limited company has statutory reporting obligations under company law, and those obligations are not switched off simply because the company is new or has had limited activity. The accounts are delivered to Companies House where required. Companies House does not prepare the accounts, does not check how they were prepared professionally and does not approve them; it receives and records the filing. Some companies qualify to report under the micro-entity framework, which is set out in FRS 105, but eligibility depends on meeting the applicable conditions for the relevant accounting period and is not automatic for new companies. Where a company does not qualify, small-company or full reporting may apply instead. It is also worth separating the three main obligations. First year statutory accounts are not a Corporation Tax Return, and a CT600 is submitted to HMRC rather than Companies House. A confirmation statement is a separate filing again, confirming that the information on the register is up to date, and it does not replace the accounts.

Information from the accounts is often used when working out the tax position, but the two filings have different purposes and different destinations. Filing your accounts does not submit a CT600, and filing a CT600 does not complete your Companies House accounts obligation. A company's first Corporation Tax accounting period can also differ from the period covered by its statutory accounts.

It depends on the company's circumstances. A company that has not yet started trading may still need to prepare and file accounts for its first period, and the reporting position is determined by the applicable rules rather than by assumption. Dormancy is a specific status with its own conditions, so it is not the same as simply having had little or no activity. Where transactions are minimal, we look at what has actually happened and advise on the appropriate treatment.

Some newly incorporated companies do qualify for the micro-entity framework set out in FRS 105, but eligibility depends on meeting the applicable conditions for the accounting period in question and is not automatic. Paying a penalty does not remove the obligation to file the accounts themselves. If accounts are already overdue, the usual priority is to get the information together and file as soon as possible. Appeals or reduction requests depend on the circumstances and the applicable rules, so they are considered case by case.
