First Year Accounts for Limited Company in Witham, Prepared and Filed With Professional Support

Your company’s first set of statutory accounts is a milestone that deserves careful handling. If you have recently incorporated a limited company in Witham, Micro Entity Accounts can help you prepare First Year Accounts for Limited Company purposes that reflect the transactions actually recorded in your books — from share capital and director transactions through to sales, expenses and asset purchases. We review the accounting records you hold, prepare the statutory accounts for the first accounting period and file them with Companies House where required. Where a company also has Corporation Tax obligations, those are dealt with separately: a Corporation Tax Return such as a CT600 is submitted to HMRC, not to Companies House, and preparing one does not complete the other. Working with someone who understands first-year reporting means fewer surprises and a clearer picture of what your company needs to do next.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and Why Do New Limited Companies in Witham Need Them?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company is new or has only recently started operating. When a company is incorporated, Companies House sets an accounting reference date, and the company’s first accounting period generally runs from the incorporation date (or the date it began trading, depending on the circumstances) to that first reference date. That first period is often longer than twelve months, which is one reason first-year reporting can differ from the routine annual cycle a company falls into afterwards. The accounts are then delivered to Companies House where required, subject to the applicable filing deadline for that company. The label “micro company” in the heading above is deliberate but conditional. Some newly incorporated companies may qualify for the micro-entity reporting framework if they meet the eligibility requirements for the relevant accounting period, and the micro-entity framework is governed by FRS 105 — the financial reporting standard applicable to qualifying entities that use it. Qualification depends on the company’s size and circumstances, not simply on being newly formed, and a company with modest activity does not automatically qualify. Where micro-entity reporting is appropriate, the accounts are typically simpler, often comprising a balance sheet with limited notes, and a profit and loss account is not always filed publicly even though the company still needs to account for its income and expenses internally. It is worth being clear about what first year accounts are not. Statutory accounts prepared for Companies House are separate from a Corporation Tax Return, such as a CT600, which goes to HMRC, and the company’s first Corporation Tax accounting period may not necessarily match its statutory accounts period. A confirmation statement is also a separate filing, and submitting first year accounts does not replace it. Companies House does not prepare accounts, does not check whether an accountant prepared them, and does not approve them — it receives the filed accounts as part of the public record. The directors remain responsible for making sure the company’s statutory obligations are met, including keeping adequate accounting records, even where professional help is used to prepare and file the accounts.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

They are the first set of annual statutory accounts your company prepares, covering its initial accounting period — usually the period from incorporation or the start of trading up to the company's first accounting reference date. They normally include a balance sheet and, depending on the reporting framework that applies, may also include a profit and loss account and notes. Once prepared, they are delivered to Companies House where required. They are a Companies House filing, not a tax return.

The deadline depends on your company's incorporation date, its accounting reference date and the Companies House requirements that apply to that first period. Because the first accounting period is often longer than twelve months, it does not always follow the same pattern as later years. We can confirm the position for your company based on its specific dates rather than assuming every new company works to the same timetable.

It depends on what your company has done since incorporation. Typically we would look at bank transactions, sales and income records, business expenses and purchase invoices, any assets bought, director transactions and loans, share capital details issued at incorporation, and payroll or VAT records where those apply. If your company has had very little activity, we will still need to understand what has and has not taken place so the accounts reflect the actual position.

A newly incorporated limited company generally does have statutory accounts filing obligations, even where trading has been limited or has not yet started. The exact position depends on the company's circumstances and the applicable rules — having no significant transactions does not automatically make a company dormant, and dormancy is a separate determination. Directors in Witham should confirm their company's position rather than assume no filing is needed.

No. Statutory accounts go to Companies House, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. Information from the accounts is often used when working out the company's tax position, but the two filings serve different purposes and have different destinations. Filing one does not complete the other, and the company's first Corporation Tax accounting period may not match its statutory accounts period.

Possibly, but not automatically. Micro-entity reporting is available to companies that meet the eligibility requirements for the relevant accounting period, and it is not simply a matter of being newly incorporated or having low activity. Where it applies, the micro-entity framework under FRS 105 allows for simplified accounts. We assess eligibility based on your company's actual circumstances before deciding which framework to use.

No. A confirmation statement is a separate Companies House filing that confirms the company's registered details are up to date, and it is not replaced by filing your first year accounts. A limited company may need to submit a confirmation statement in addition to its accounts, so it is worth keeping track of both as part of your wider compliance calendar rather than treating them as one obligation.

Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, which may include penalties depending on how late the filing is. Paying a penalty does not remove the requirement to file the outstanding accounts. If accounts are already overdue, it is worth dealing with them promptly; where an appeal is considered, eligibility depends on the circumstances and the applicable rules.
