What Are First Year Accounts for a Micro Company and Who Qualifies?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. That period normally begins on the date the company was incorporated, while the first accounting reference date set at incorporation determines when it ends. Because the starting point is the incorporation date rather than a tidy twelve-month window, a first period can run for more or less than a year, and Companies House rules allow for that. The accounts summarise the company’s financial position at the period end and its performance across the period, typically through a balance sheet and, where applicable, a profit and loss account, together with the notes and disclosures required by the framework being used. They are not optional simply because the company is new or quiet. Even a company that has not yet started trading may still have statutory obligations, depending on its circumstances and the applicable rules, and ‘dormant’ has a specific meaning rather than being a label that applies automatically to any company with limited activity. Some companies meet the eligibility conditions for the micro-entity framework, in which case FRS 105, the reporting standard for qualifying micro-entities, may be appropriate. Eligibility is measured against the relevant conditions for the accounting period in question, so it is assessed company by company rather than assumed. Others may fall within the small company regime or need to prepare accounts under a fuller framework.
