What Are First Year Accounts for a Micro Company, and Who Actually Qualifies?

First-year accounts are the first set of statutory accounts a limited company prepares, covering its initial accounting period. That period normally begins on the date of incorporation and runs to the company’s first accounting reference date, although Companies House rules allow the first period to be shortened or extended in certain circumstances. Because companies are incorporated on different dates, the period covered, and the filing date that follows from it, is not identical for every company. The accounts are built from the company’s accounting records, which can include bank transactions, sales and other income, business expenses, purchase invoices, asset purchases, share capital details, director transactions and any other supporting documents. From those records, the balance sheet is prepared, along with a profit and loss account where applicable, so the accounts present a fair picture of the period. Where a company meets the eligibility conditions for the relevant accounting period, it may be able to report under the micro-entity framework, for which FRS 105 is the applicable financial reporting standard. Eligibility is not automatic and does not follow simply from having a low turnover or being newly incorporated, so the appropriate framework should be confirmed against the company’s circumstances before it is applied. It also helps to keep the different filings separate in your mind. Statutory accounts are delivered to Companies House where required. A Corporation Tax Return, such as a CT600, is submitted separately to HMRC where the company has Corporation Tax obligations, and the first Corporation Tax accounting period may not match the statutory accounts period. A confirmation statement is a further, separate filing. Preparing first-year accounts does not, by itself, complete any of those other obligations.

Although they are described as first-year accounts, they are the first in a series of annual accounts rather than a one-off document, so the figures produced now become the starting point for later periods.

The timing depends on the company's incorporation date and its accounting reference date, because Companies House works out the filing deadline by reference to the accounting reference date rather than the date you start trading. The allowance for a first set of accounts can differ from later years, and it is not identical for every company. Rather than assuming your deadline matches someone else's, it is worth confirming the position for your own company, and we can check that as part of preparing the accounts.

In practice we usually need bank statements and transaction records, sales or income records, purchase invoices and details of business expenses, share capital information, any asset purchases, director loan movements, and payroll or VAT records if those apply to the company. If some of these do not exist because activity has been minimal, that is not a problem. We work with the records available and identify what else may be needed to complete the accounts properly.

In most cases, yes. A limited company is generally required to prepare and file statutory accounts at Companies House for each financial year, including its first, even where it has not yet started trading or has had very little activity. There are limited exceptions, and whether a company is treated as dormant for filing purposes depends on its own circumstances and the applicable rules rather than on a simple assumption that nothing happened.

Filing first-year accounts does not replace it, and it does not replace the accounts either. The two run alongside each other on their own cycles, and both should be diarised so neither is overlooked.

Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, which may include penalties depending on how overdue the accounts are. Paying a penalty does not remove the requirement to file the outstanding accounts, so the priority is usually to get them completed and submitted. If a deadline was missed for a specific reason, it may be worth checking whether an appeal is possible, although eligibility depends on the circumstances and the applicable rules rather than being guaranteed.
