What Are First Year Accounts for a Micro Company, and Does Your Company Qualify?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company is new or has only recently started trading. Every limited company has reporting obligations from incorporation, and for most companies the first accounting period runs from the incorporation date to a first accounting reference date set by reference to that date. The first period is often longer than the periods that follow, which is one reason first-year accounts can look different from later years. Where a company qualifies, the micro-entity accounting framework — based on FRS 105 — allows a simplified set of accounts, typically a balance sheet with limited notes and no full profit and loss account on the public record. Qualification depends on the company meeting the applicable eligibility requirements for the relevant accounting period, so it should be checked rather than assumed. A newly incorporated company is not automatically a micro-entity, and a company with modest activity is not automatically eligible either. The appropriate framework for your Trafford company depends on its own circumstances. Once prepared, first year statutory accounts are generally delivered to Companies House where required. Companies House registers the filing; it does not prepare the accounts, check how they were professionally prepared, or approve them in any regulatory sense. There is no single answer that applies to every company. The filing deadline depends on the company's incorporation date, its accounting reference date and the applicable Companies House requirements, and the first set of accounts is commonly given a longer filing window than later years. Because the calculation is specific to your company, we check the position for your incorporation date rather than relying on a general rule of thumb, and we would always recommend confirming the due date from official Companies House guidance for your company record.

It depends on what the company has done since incorporation, but the starting point is accurate accounting records. Depending on your circumstances that may include bank statements and transaction listings, sales and income records, purchase invoices and business expenses, details of any assets bought, share capital information, director loan movements, finance or loan agreements, and payroll or VAT records where those apply. Limited companies have statutory accounts filing obligations from incorporation, and first year accounts are generally filed with Companies House where required.
