What Are First Year Accounts for a Micro Company, and Does the Micro-Entity Framework Apply?

First year accounts are the first set of statutory annual accounts a limited company prepares for its initial accounting period. They are not optional just because the company is new. Every UK limited company has an accounting reference date, normally set on incorporation, and the first accounting period generally runs from the date of incorporation to that first accounting reference date. Depending on those dates, the first period can be longer or shorter than twelve months, which is one reason first-year accounts often need more careful attention than the accounts that follow. The accounts usually include a balance sheet and, where applicable, a profit and loss account, together with any notes and disclosures required by the reporting framework the company uses. Directors remain responsible for keeping adequate accounting records, for the accuracy of the information, and for ensuring the company meets its statutory obligations, even where an accountant is engaged to prepare or file the accounts. Some newly incorporated companies meet the eligibility conditions for the micro-entity framework and may be able to file simpler accounts under FRS 105, the financial reporting standard applicable to qualifying entities using the micro-entity accounting framework. Eligibility depends on the company’s circumstances for the relevant accounting period, so it is worth confirming rather than assuming a simplified format applies. Not every new company qualifies, and a low level of activity does not automatically make a company a micro-entity. It also helps to separate first-year statutory accounts from the company’s other filings. Statutory accounts are generally delivered to Companies House where required. Preparing them is part of meeting your company's statutory obligations, not something that can be skipped because the company is new.

The due date depends on your company's incorporation date and its accounting reference date, so it is not the same for every company. First accounts also work differently from later years, because the initial accounting period can cover more than twelve months if it runs from incorporation to the first accounting reference date. Rather than relying on a general rule of thumb, check the specific dates recorded for your company on the Companies House register, or ask us to confirm them for you.

In most cases a company still has accounts filing obligations, even where there has been limited activity or trading has not yet started. What the accounts need to show depends on the company's individual circumstances and the applicable rules. A company with no significant accounting transactions is not automatically dormant simply because it has been quiet, and dormancy has its own criteria. Filing nothing is rarely the right approach, so it is worth taking advice on your company's position before the first accounting period ends.

It depends on what the company has actually done since incorporation. In practice, we usually ask for bank statements and transactions, sales or income records, business expense receipts and purchase invoices, details of any assets bought, director transactions and loans, share capital information, and payroll or VAT records where those apply. If some of these do not exist because the company has not traded or has not registered for VAT, that is fine, we only work with the records relevant to your circumstances.

No, they are separate requirements. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. Filing one does not complete the other. The figures from your accounts are often used as a starting point when preparing your Corporation Tax position, but the two filings serve different purposes, go to different authorities, and can follow different accounting periods. A limited company may therefore have obligations in both areas.

It does not. A confirmation statement is a separate Companies House filing that confirms your company's registered information, such as directors, shareholders and registered office, is current. It has its own filing cycle and is not replaced by submitting your first statutory accounts. Keeping your Companies House record accurate and up to date sits alongside your accounts obligations, and it is worth diarising both so nothing is overlooked in your company's first year.

Some newly incorporated companies do meet the eligibility conditions for micro-entity reporting and may be able to file simpler accounts under FRS 105, but it is not automatic. Eligibility is assessed against the applicable requirements for the relevant accounting period and depends on the company's circumstances, not simply on being newly formed or having modest activity. We review your position before deciding which framework to use, and if micro-entity reporting is not available, we will prepare your accounts under the framework that does apply.

Failing to deliver accounts by the applicable deadline can lead to Companies House consequences, and the position can worsen the longer the accounts remain outstanding. Paying a penalty does not remove the requirement to file the accounts themselves. If your first-year accounts are already overdue, the practical step is to get the accounts prepared and submitted, and to look at whether the circumstances support an appeal, which depends on the individual situation and the applicable rules.
