What Are First Year Accounts for a Micro Company, and Who Actually Qualifies?

First year accounts are the initial set of statutory accounts a limited company prepares for its first accounting period — the period that begins on the date of incorporation and runs to the company’s first accounting reference date. They are not a temporary or optional exercise. Once a company is incorporated, it generally has an ongoing duty to prepare annual accounts and to deliver them to Companies House where required, and the first set is simply the opening instalment of that routine. The length of the first accounting period is not identical for every company: it depends on the incorporation date and the accounting reference date assigned at registration, and Companies House sets out how that period is treated. Your company’s own filing deadline follows from those dates rather than from a single rule applied to everyone. If a company meets the eligibility conditions for the relevant accounting period, it may be able to prepare accounts under the micro-entity framework, with FRS 105 as the financial reporting standard that applies to qualifying entities using that framework. That is a question of eligibility and circumstances, not something that follows automatically from being newly incorporated or from having modest activity. Many small companies instead report under a small-company framework, and some need fuller disclosure. The right answer is worked out by looking at the company’s position for the period in question. It also helps to separate the three main filings that new directors tend to hear about at the same time. Statutory accounts go to Companies House where required. A Corporation Tax Return, such as a CT600, goes to HMRC where the company has a Corporation Tax obligation, and it is a distinct submission with its own purpose — filing accounts does not submit a CT600, and filing a CT600 does not satisfy the Companies House accounts requirement. The company’s first Corporation Tax accounting period may not line up exactly with its statutory accounts period. They usually include a balance sheet, a profit and loss account where applicable, and the supporting notes and statements required by the framework your company reports under. Once prepared, they are delivered to Companies House where required. They are not submitted to HMRC in place of a Corporation Tax Return.

The deadline depends on your company's incorporation date and its accounting reference date, along with the Companies House requirements that apply to that first period. Because the first accounting period is often longer or shorter than a standard twelve-month period, the due date is not the same for every company. We confirm the applicable date for your company once we have your registration details, and you can also check the position on the Companies House register.

Typically bank statements and transaction listings, sales and income records, purchase invoices and business expenses, details of any assets bought or sold, share capital information, director's loan movements, and any loans or finance arrangements. Payroll and VAT records are relevant where the company has them. Very few new companies have all of this, so send what exists and we will tell you what else is needed.

In most cases, yes — a limited company generally has to prepare annual accounts and deliver them to Companies House where required, and that obligation starts with the first accounting period. This is separate from the confirmation statement, which is its own filing and is not replaced by submitting accounts. It is also separate from anything sent to HMRC. If your company has had little or no activity, the position still needs to be considered rather than assumed.

No. Statutory accounts are prepared for the company and delivered to Companies House where required. A CT600 is a Corporation Tax Return submitted to HMRC where the company has a Corporation Tax obligation, and it serves a different purpose. The figures in the accounts are often used when working out the Corporation Tax position, but the two filings have different destinations and different requirements, and the first Corporation Tax accounting period may not match the statutory accounts period.

Filing obligations can still apply where a company has had limited activity or has not yet commenced trading, so it is not safe to assume nothing is due. Whether the company is treated as dormant depends on its particular circumstances and the applicable rules, not simply on having no sales.
