First Year Accounts for Limited Company in Stanmore — Professional Preparation and Filing Support

Newly incorporated companies in Stanmore rarely get much breathing space before their first statutory accounts fall due. First Year Accounts for Limited Company in Stanmore are the first set of annual accounts prepared for that initial accounting period, and they need to be built from accurate accounting records and delivered to Companies House where required. Our work is to help directors through that process — reviewing the records you hold, preparing a balance sheet and a profit and loss account where applicable, and assisting with the filing so the company’s obligations are met. Corporation Tax sits separately: a CT600 is submitted to HMRC, not to Companies House, and it may cover a different period. Getting the framework, the accounting period and the underlying records right at the first attempt saves directors in Stanmore a good deal of avoidable difficulty later on.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

What Are First Year Accounts for a Micro Company? A Guide for New Limited Companies in Stanmore

First-year accounts are the first set of statutory accounts a limited company prepares, covering the period from incorporation, or from the date it began trading where that differs, through to its first accounting reference date. Companies House sets an accounting reference date when a company is incorporated, and the first accounting period is measured from that point rather than being a tidy twelve months. As a result, a company’s first accounts can cover a longer or shorter period than later sets, and the filing deadline depends on the company’s own dates and the applicable Companies House requirements. Every UK limited company has to prepare annual accounts, and that obligation applies to the first year just as much as to any other. A company that has not yet started trading, or that has had limited activity, may still have statutory filing requirements — its reporting position depends on its circumstances and the applicable rules rather than being something that can simply be assumed. Where accounts are required to be filed, they are delivered to Companies House. Companies House does not prepare those accounts, does not assess whether an accountant prepared them, and does not approve them; it receives and registers the filing. Some companies qualify to prepare accounts under the micro-entity framework, which is based on FRS 105, the financial reporting standard applicable to qualifying entities using that framework. Eligibility depends on meeting the applicable criteria for the relevant accounting period, and not every newly incorporated company will qualify — a new company is not automatically a micro-entity, and low activity on its own does not guarantee anything. The appropriate framework should be determined from the company’s own circumstances. It also helps to keep the separate filings clearly apart. Statutory accounts go to Companies House, a Corporation Tax Return such as a CT600 goes to HMRC where the company has Corporation Tax obligations, and a confirmation statement is a further Companies House filing in its own right. Completing one does not complete the others, and the company’s first Corporation Tax accounting period is not always identical to its statutory accounts period.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

They are the first set of statutory accounts a company prepares for its initial accounting period, normally covering the time from incorporation — or from the date it began trading, where that is different — through to its first accounting reference date. They typically include a balance sheet and, where applicable, a profit and loss account, together with the notes required by the reporting framework the company uses. They are prepared from the company's accounting records and delivered to Companies House where required.

There is no single answer, because the deadline depends on your company's incorporation date, its accounting reference date and the applicable Companies House requirements. The first accounting period is often longer or shorter than twelve months, which affects when the accounts fall due. We can review your company's specific dates and confirm the position rather than applying a blanket rule to every new company.

It depends on what the company has actually done during the period. Typical items include bank statements and transaction records, sales and income records, purchase invoices and business expenses, details of any assets purchased, director transactions and loans, share capital information, and payroll or VAT records where those apply. If your company has had very little activity, the list will be shorter. We will tell you what is relevant to your circumstances rather than asking for everything at once.

Yes. A limited company has statutory accounts obligations from the point it is incorporated, and the first set is not optional simply because the company is new. Where accounts are required to be filed, they are delivered to Companies House. It is worth being clear about what that involves: Companies House does not prepare your accounts, does not check whether an accountant prepared them and does not approve them — it receives and registers the filing. A confirmation statement is a separate Companies House filing that may also be due.

No — they serve different purposes and go to different places. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. Information from the accounts is often used when preparing the Corporation Tax position, but filing one does not complete the other. The company's first Corporation Tax accounting period and its statutory accounts period may also differ.

A company can still have statutory filing obligations even where it has had limited activity or has not yet commenced trading. Whether accounts are required, and what they should contain, depends on the company's circumstances and the applicable rules, rather than being automatically treated as dormant. It is worth checking the position properly instead of assuming nothing needs to be filed.

Some companies do qualify for the micro-entity framework, which is based on FRS 105, but eligibility depends on meeting the applicable criteria for the relevant accounting period. A newly incorporated company is not automatically a micro-entity, and limited activity does not by itself guarantee qualification. The appropriate framework should be determined from the company's own circumstances, and we can help directors in Stanmore work out which basis applies.

Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, and the outcome can vary depending on the circumstances and how overdue the filing is. Paying any penalty that arises does not remove the requirement to file the outstanding accounts. If accounts are already overdue, it is usually better to deal with it promptly than to leave it, and we can review the position and explain the options available.
