They are the first set of statutory accounts covering a company's initial accounting period, which usually runs from the date of incorporation to the first accounting reference date. Depending on the framework that applies, they include a balance sheet and, where relevant, a profit and loss account and notes. They are prepared from the company's accounting records and delivered to Companies House where required. They are separate from a Corporation Tax Return submitted to HMRC and from a confirmation statement filed with Companies House.
There is no single date that applies to every company. The deadline depends on the incorporation date, the accounting reference date and the applicable Companies House requirements. Because a first accounting period often covers more than twelve months, first accounts deadlines are generally longer than those for later years, but the exact position varies from company to company. We can confirm the period your accounts need to cover and the date they are due once we have your company details.
Usually bank statements and transaction listings, sales and income records, business expense records and receipts, purchase invoices, details of any assets purchased, share capital information, director loan movements, and payroll or VAT records where those apply. A company with limited activity will have far less to provide than one that has been trading throughout. Incorporating a company brings statutory filing obligations, and those are not automatically removed because trading has not started. The figures in the accounts are often useful when preparing the tax position, and the company's first Corporation Tax accounting period may not line up exactly with the period covered by the statutory accounts, but they are distinct filings with separate purposes and separate destinations.
Some do, but qualification is not automatic and it is not based on the company being new or small in headcount. Micro-entity eligibility depends on meeting the applicable conditions for the relevant accounting period, and where a company qualifies, its accounts are prepared under FRS 105. Companies that do not qualify may still report as small companies, or may need the standard framework. We assess this as part of preparing the accounts rather than assuming a framework at the outset.
They are two different filings. A confirmation statement confirms that the information on the public register - directors, shareholders, registered office and similar details - remains accurate, and it is a separate requirement from delivering accounts. Filing first year accounts does not satisfy the confirmation statement obligation, and filing a confirmation statement does not complete the accounts. Newly incorporated companies often need to keep an eye on both.
Failing to deliver accounts by the applicable deadline can lead to consequences from Companies House, which may include late filing penalties, and the position generally worsens the longer a filing remains outstanding. Paying a penalty does not remove the requirement to file the accounts.
