They are the company's first set of annual statutory accounts, covering its initial accounting period from incorporation through to its first accounting reference date. They typically include a balance sheet, and a profit and loss account where the applicable framework requires one, along with any notes and disclosures needed. These accounts are the statutory accounts delivered to Companies House where required, and they are separate from anything submitted to HMRC.
The due date depends on the company's incorporation date and accounting reference date, and Companies House applies specific rules to a first set of accounts that can make the first period slightly different from later years. Because those dates vary from company to company, there is no single deadline that applies to every new limited company. We look at your company's own dates and set out when its first accounts need to be filed.
It depends on what the company has done during the period. Commonly useful records include bank statements and transactions, sales and income records, purchase invoices and expense receipts, details of any assets bought or sold, director loan movements, share capital information and any loans or finance arrangements. Where the company runs payroll or is VAT registered, those records are relevant too. If activity has been limited, we work with whatever records exist and explain what else may be needed.
In most cases a limited company has statutory filing obligations that begin with its first accounting period, even where trading has been limited. Statutory accounts are generally delivered to Companies House where required. Filing accounts does not, however, complete the company's Corporation Tax obligations, and it does not replace the confirmation statement.
No. First year statutory accounts are prepared for the company and filed at Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. The figures in the accounts are often used as a starting point when working out the company's Corporation Tax position, but the two filings have different purposes, different destinations and their own requirements. Filing one does not automatically complete the other.
A company does not escape its filing obligations simply because it has not started trading. Whether accounts are required, and what they should contain, depends on the company's circumstances and the applicable rules. It is also worth noting that a company with no significant transactions is not automatically treated as dormant, so the reporting position should be considered properly rather than assumed.
Some newly incorporated companies do qualify for the micro-entity framework, but not all of them will. Eligibility depends on meeting the applicable criteria for the relevant accounting period, and a company with modest activity does not automatically fall into that category. Where it does qualify, FRS 105 is the financial reporting standard used, and the accounts can be prepared in a simplified form. We confirm the appropriate framework based on your company's circumstances.
Failing to deliver required accounts by the applicable deadline can lead to consequences from Companies House, which can vary depending on how late the filing is and the company's filing history. Paying any penalty does not remove the requirement to file the outstanding accounts. If an appeal against a penalty is being considered, eligibility depends on the individual circumstances and the applicable rules.
