What Are First Year Accounts for a Micro Company, and Why Do New Limited Companies Need Them?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. That period normally starts on the date of incorporation and ends on the company’s first accounting reference date, which is set when the company is formed and can be adjusted in certain circumstances. Because the first period is often shorter or longer than the twelve months used in later years, it is worth confirming the exact dates that apply to your company rather than assuming a standard pattern, and confirming the resulting filing date for the accounts at Companies House. They are not optional simply because the company is new. Incorporation creates statutory obligations, and preparing and delivering accounts is part of them. Where a company has had very limited activity, or has not yet commenced trading, its reporting position still needs to be considered carefully against the applicable rules rather than assumed to be dormant. Where a company meets the relevant eligibility conditions for the period, it may be able to prepare accounts under the micro-entity framework, using FRS 105, the financial reporting standard that applies to qualifying entities. Eligibility is not automatic and does not follow from being newly incorporated or from having low turnover alone. The small-company regime may also be available in some circumstances.
