First Year Accounts for Limited Company in Cleckheaton — Professional Preparation and Companies House Filing Support

Once a company is incorporated, its first set of statutory accounts has to be dealt with properly, and it is rarely as simple as repeating a process from a previous year. Micro Entity Accounts supports directors of newly incorporated and newly trading limited companies in Cleckheaton with First Year Accounts for Limited Company, from reviewing the accounting records and drafting the balance sheet to delivering the accounts to Companies House where required. We also help directors understand how the first accounting period and accounting reference date affect what has to be filed, and whether the company may qualify for the micro-entity framework under FRS 105 or falls into another reporting framework. Alongside this, there are separate obligations to keep in view, including the Corporation Tax Return such as the CT600, which is submitted to HMRC rather than Companies House, and the confirmation statement. Directors stay responsible for the company’s compliance, but professional preparation and filing support takes the guesswork out of the first year.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

What Are First Year Accounts for a Micro Company? Guidance for New Limited Companies in Cleckheaton

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period — the period that begins on the date the company was incorporated. Because the company is new, that first period is often longer than twelve months, and Companies House applies different rules to it than to later periods. The company’s accounting reference date is set when it is incorporated, and the length of that first accounting period, together with any change to the accounting reference date, affects what has to be prepared and filed, and by when. Every UK limited company has to prepare accounts, and where required deliver them to Companies House. That requirement exists whether or not the company has started trading and whether or not it has made a profit. Limited activity does not automatically remove the filing obligation, although the reporting position of a company with no significant accounting transactions depends on its circumstances and the applicable rules rather than being automatically described as dormant. Where a company meets the relevant eligibility conditions, it may be able to prepare its accounts under the micro-entity framework using FRS 105, the financial reporting standard that applies to qualifying entities preparing micro-entity accounts. Not every newly incorporated company qualifies, and some companies fall into the small-company regime or need accounts prepared under a fuller framework. Eligibility is assessed against the applicable requirements for the accounting period, so it should be confirmed before the accounts are drafted rather than assumed because the company is new or small. It also helps to keep three obligations separate. First year statutory accounts are delivered to Companies House where required, and they usually include a balance sheet together with a profit and loss account and notes where the applicable framework calls for them. A Corporation Tax Return such as the CT600 is submitted to HMRC where the company has Corporation Tax obligations, and the first Corporation Tax accounting period is not necessarily identical to the statutory accounts period. A confirmation statement is a further, separate filing that keeps the company’s details at Companies House up to date. Completing one of these does not complete the others, and filing accounts with Companies House is not the same as submitting a Corporation Tax Return to HMRC.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

First year accounts are the first set of statutory accounts a company prepares for its initial accounting period. They cover the period from the company's incorporation date to its first accounting reference date, and typically include a balance sheet, along with a profit and loss account and notes where the applicable framework requires them. They are a statutory document rather than an optional exercise, and are generally delivered to Companies House where required.

The due date depends on the company's incorporation date and accounting reference date, so it is not the same for every company. Companies House sets the accounting reference date when a company is incorporated, and the first accounting period normally runs from the incorporation date to that date. The filing deadline is calculated from the end of the relevant accounting period, and the first deadline is generally longer than the deadline that applies to later years. Directors should check the dates shown on their own company's Companies House record rather than rely on a general rule.

Broadly, the company's accounting records for the period are needed: bank statements and transactions, sales and income records, purchase invoices and business expenses, details of any assets bought, share capital information, director transactions, and any loans or finance arrangements. Where payroll or VAT applies, those records should be included as well. A company with limited activity will have less to provide, but some records will still be required to prepare accurate accounts.

Yes. A limited company generally has to prepare accounts and deliver them to Companies House where required, whether or not it has started trading. A newly incorporated company in Cleckheaton with little or no activity may still have a filing obligation, and its reporting position should be considered against its own circumstances. Filing does not become unnecessary simply because the company is new.

They are separate filings. Statutory accounts are prepared for the company and its members and delivered to Companies House where required. A Corporation Tax Return, commonly the CT600, is submitted to HMRC where the company has Corporation Tax obligations. Figures from the accounts often inform the Corporation Tax position, but the two are prepared for different purposes and go to different destinations, and completing one does not complete the other. The first Corporation Tax accounting period and the statutory accounts period are not always the same.

Some newly incorporated companies do qualify, but not all of them. Micro-entity eligibility depends on meeting the applicable conditions for the relevant accounting period, and qualifying companies may prepare accounts under the micro-entity framework using FRS 105. A company that does not meet the criteria may fall within the small-company regime or need accounts prepared under a fuller framework. Eligibility should be confirmed before the accounts are drafted rather than assumed.

No. A confirmation statement is a separate filing that confirms the company's details held at Companies House, such as the registered office, directors and shareholders. First year accounts do not replace it, and filing the accounts does not update that information. Directors should keep the Companies House record current and submit confirmation statements when they fall due.

Filing accounts after the applicable deadline can lead to consequences at Companies House, and the outcome depends on how overdue the accounts are and the rules that apply. Paying any penalty does not remove the requirement to file the outstanding accounts, so the priority is to get them prepared and filed. Appeals against penalties are possible in certain circumstances and depend on the specific reasons involved, so it is worth taking advice on whether a company may be eligible.
