They are the first set of annual statutory accounts a company prepares after incorporation, covering its initial accounting period. They normally include a balance sheet and, depending on the reporting framework that applies, a profit and loss account with supporting notes. The period usually runs from the incorporation date to the company's first accounting reference date, and it does not always cover a full twelve months.
The deadline depends on the company's incorporation date, its accounting reference date and the applicable Companies House requirements, so it varies from company to company. Companies House generally sets the filing date by reference to the accounting reference date, and a first set of accounts can follow different timing rules from later years. Rather than relying on a general rule of thumb, it is worth checking the specific dates attached to your company record and working back from there.
It depends on what the company has actually done during the period. Typically we would ask for bank statements and transaction records, sales and income details, purchase invoices and expense receipts, details of any assets bought or sold, director transactions and loans, share capital information, and any finance agreements. Where the company runs payroll or is VAT registered, those records are relevant too. A company with very little activity will naturally need less.
In most cases, yes. A limited company is generally required to prepare and deliver statutory accounts for its accounting period where required, and that obligation applies to newly incorporated companies as well as established ones. Having had limited activity, or not having started trading yet, does not automatically remove the requirement — the reporting position depends on the company's own circumstances and the applicable rules. Whether a company can be treated as dormant is a separate question from whether accounts need to be prepared.
No. First-year statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. They serve different purposes and go to different bodies, and filing one does not complete the other. Information from the accounts is often used when working out the company's Corporation Tax position, and the company's first Corporation Tax accounting period may not be identical to its statutory accounts period.
Some newly incorporated companies do qualify for the micro-entity framework, but it is not automatic. Eligibility is based on whether the company meets the applicable conditions for the relevant accounting period, so a simple start-up may qualify while a company with higher turnover, employees or group links may not. Where the micro-entity framework applies, FRS 105 is the financial reporting standard used. We confirm the appropriate framework before preparing anything.
Yes, they are separate requirements. A confirmation statement deals with confirming the company's information at Companies House — such as directors, shareholders and registered office details — while first-year accounts report the company's financial position for the period. Filing accounts does not satisfy the confirmation statement obligation, and keeping the company's record up to date is a continuing duty for directors.
Failing to deliver required accounts by the applicable deadline can lead to Companies House consequences, and the outcome depends on how late the filing is and the circumstances involved. Paying any penalty does not remove the obligation to file the outstanding accounts. Where a penalty is issued, whether an appeal is possible depends on the specific facts and the applicable rules, so it is best to take advice and get the accounts finalised as soon as possible.
