First Year Accounts for Limited Company in Chipping Sodbury — Professional Preparation and Filing Support

If you have recently incorporated a company, its first set of statutory accounts needs to be prepared for the initial accounting period — and, in most cases, filed with Companies House where required. For directors in Chipping Sodbury, the practical questions usually come thick and fast: what period do the accounts cover, which reporting framework applies, what records do I need to pull together, and how does this differ from a Corporation Tax Return? Micro Entity Accounts works with newly incorporated and newly trading limited companies on exactly that. We help prepare the first year statutory accounts, review the underlying accounting records for completeness and accuracy, and support the Companies House filing process. Where the company also has Corporation Tax obligations, those are dealt with separately with HMRC, typically through a CT600.

He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and Who Can Actually Use That Framework?

First year accounts are the first set of statutory annual accounts a limited company prepares for its initial accounting period. That period normally runs from the date of incorporation to the company’s first accounting reference date. When a company is incorporated, Companies House sets an initial accounting reference date, which is commonly the last day of the month in which the first anniversary of incorporation falls — but the exact position depends on the company’s own registration details. The accounts are prepared for the company’s members and, where required, delivered to Companies House. Depending on the applicable framework, they typically include a balance sheet, and a profit and loss account and supporting notes where required. These accounts are a statutory obligation, not an optional exercise for a company that has only recently been set up. A company may still have filing obligations even where trading has been limited or has not yet commenced, although its exact reporting position depends on its circumstances and the applicable rules rather than being automatically treated as dormant. The phrase micro company accounts is often used loosely. A company may be able to prepare micro-entity accounts under FRS 105 — the financial reporting standard applicable to qualifying entities using the micro-entity framework — only where it meets the eligibility requirements for the relevant accounting period. Being newly incorporated does not, by itself, make a company a micro-entity, and FRS 105 does not automatically apply to every new limited company. For some companies the small-company reporting framework, or full accounts, will be the appropriate route. The right answer depends on the company’s size and circumstances for that period, and it is worth confirming before the accounts are drafted rather than after. It also helps to be clear about what first year accounts are not. They are not a Corporation Tax Return: a CT600 is submitted to HMRC where a company has Corporation Tax obligations, and the company’s first Corporation Tax accounting period may not be identical to the statutory accounts period. They are not a confirmation statement, which is a separate filing confirming the company’s registered details at Companies House. And they are not a VAT Return. Each of these has its own purpose, destination and deadlines, and completing one does not complete the others. A company director in Chipping Sodbury with a newly incorporated company should treat first year statutory accounts as one part of a wider set of compliance duties that need to be managed alongside each other.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Get Your First Year Accounts for Limited Company in Chipping Sodbury Prepared Properly

The first set of accounts tends to raise questions that later years simply do not: which period is being reported on, whether the company qualifies for micro-entity or small-company reporting, how a director’s loan or share capital should be reflected, and what actually needs to go to Companies House compared with HMRC. Getting that groundwork right at the start makes the following years far more straightforward. Micro Entity Accounts provides professional preparation and filing support for first year accounts, working from your accounting records to produce statutory accounts that reflect the company’s position and meet the applicable requirements. If your bookkeeping is incomplete or your records are scattered across bank statements and spreadsheets, we can help you work out what is needed and what can reasonably be left out. If you are unsure whether your company is trading, dormant or somewhere in between, that is a conversation worth having before the filing deadline rather than after it. Speak to us about your company’s first year accounts and get the compliance side of your first accounting period properly organised.

They are the first set of statutory annual accounts a company prepares for its initial accounting period, normally running from the date of incorporation to its first accounting reference date. Depending on the applicable framework, they typically include a balance sheet, and a profit and loss account with supporting notes where required. They are prepared for the company's members and, where required, delivered to Companies House. They are a separate document from a Corporation Tax Return.

The due date depends on the company's incorporation date and accounting reference date. Companies House generally allows a longer period for a first set of accounts than for later years, but the precise date is specific to each company and is shown on its Companies House record. Directors of a newly incorporated company in Chipping Sodbury can check that date directly, or ask us to confirm it and plan the work around it. If the company also has Corporation Tax obligations, HMRC's deadlines are separate and may follow a different period.

It depends on what the company has actually done during the period. Typical items include bank statements and transaction listings, sales or income records, purchase invoices and expense receipts, details of asset purchases, director loan movements, share capital information, loans or finance agreements, and payroll or VAT records where those apply. Not every company will have all of these — a company with limited activity will have far less to provide than one that has been trading actively since incorporation.

In most cases, yes — and that obligation is not removed simply because a company has not started trading or has had very few transactions. Where there have been no significant accounting transactions, the company's reporting position depends on its circumstances and the applicable rules rather than being automatically described as dormant, since dormant status has a specific meaning. In some cases a company may be able to file dormant accounts instead. It is worth reviewing the position early.

No. Statutory accounts are delivered to Companies House where required, while a CT600 is a Corporation Tax Return submitted to HMRC where the company has Corporation Tax obligations. Figures from the accounts are often used when preparing the tax return, but the two filings have different purposes, different destinations and different deadlines. Filing one does not complete or replace the other, and the company's first Corporation Tax accounting period may not match its statutory accounts period.

Some can, but it is not automatic. A company is not a micro-entity merely because it is newly incorporated or has low activity. Eligibility depends on whether the company meets the applicable criteria for the relevant accounting period, and the appropriate framework — micro-entity accounts under FRS 105, the small-company framework, or full accounts — should be confirmed before preparation begins. We can help assess which framework fits your company's circumstances.

Yes, where one is due. A confirmation statement is a separate filing that confirms the company's registered details, such as its officers, shareholders and registered office, and it is not replaced by filing statutory accounts. Directors also remain responsible for keeping the company's Companies House information up to date.

Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, and the position varies depending on how late the filing is and the company's circumstances — it is not the same outcome in every case. Paying any penalty does not remove the requirement to file the outstanding accounts. If your first accounts are already overdue, professional help can be useful to prepare and deliver them, and to consider whether an appeal might be appropriate in your circumstances.
