First Year Accounts for Limited Company in Chesham, Prepared With Professional Support

A newly incorporated company still has statutory accounts to prepare for its first accounting period, and the way that period falls is not always obvious from the incorporation date alone. Micro Entity Accounts supports directors in Chesham with First Year Accounts for Limited Company work — preparing the statutory accounts, reviewing the accounting records behind them and filing with Companies House where required. We also make the boundaries clear, so you know that a Corporation Tax Return such as a CT600 is a separate submission to HMRC where applicable, and that a confirmation statement is a separate Companies House requirement again. Whether your company has been trading since incorporation or has seen limited activity so far, getting the first set of accounts prepared carefully gives you a clean, well-documented starting point for the years that follow.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

What Are First Year Accounts for a Micro Company? A Guide for Chesham Directors

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company is new. Once a company is incorporated, it has reporting responsibilities, and the first accounts cover the period from incorporation (or from the start of trading, depending on the company’s circumstances) through to its first accounting reference date. The accounting reference date is normally set at incorporation, and it is this date that anchors the first accounting period. The first period is not always a neat twelve months; depending on the incorporation date and how the accounting reference date falls, it can run longer or shorter than a standard year. That is one reason a director should confirm the company’s own dates rather than assume they match another company’s. When the period ends, the accounts are prepared and delivered to Companies House where required. A company may also be able to use the micro-entity accounting framework if it meets the applicable eligibility requirements for that period — usually measured against thresholds covering turnover, balance sheet total and employee numbers. Not every new company qualifies, and not every company with modest income automatically does. FRS 105 is the financial reporting standard used by qualifying entities applying the micro-entity framework, and the right framework should be confirmed from the company’s own figures and circumstances. Three separate obligations are often confused, so it is worth separating them clearly. First year statutory accounts are delivered to Companies House. A Corporation Tax Return, such as a CT600, is submitted to HMRC where applicable, and the company’s first Corporation Tax accounting period may not be identical to its statutory accounts period. A confirmation statement is a further, separate Companies House filing that keeps the register information up to date. Preparing or filing one of these does not complete the others.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

They are the first set of annual statutory accounts a limited company prepares for its initial accounting period, running from incorporation or the start of trading through to the company's first accounting reference date. They typically include a balance sheet, and a profit and loss account or equivalent reporting depending on the framework the company uses, along with any notes required. Once prepared, they are delivered to Companies House where required.

The due date depends on the company's accounting reference date and the Companies House rules that apply at the time, and the first period is not always twelve months long. Because the dates vary from company to company, the sensible step is to confirm your own company's accounting reference date and filing deadline rather than work from an assumption. We can help you establish what applies to your company and plan the work around it.

It depends on what the company has done, but typical records include bank statements and transactions, sales and income records, purchase invoices and business expenses, details of any assets bought, share capital information, director loans or other transactions, and payroll or VAT records where those apply. If some records are incomplete, that is worth addressing early so the accounts reflect the company's position accurately.

In most cases yes, a company must file its statutory accounts with Companies House where required, even if it has had limited activity. Filing these accounts is separate from submitting a Corporation Tax Return to HMRC and separate again from the confirmation statement. Directors in Chesham often find it helpful to map all three obligations at once so nothing is missed during the first year.

A company that has not started trading may still have filing obligations, but the exact position depends on its circumstances and the applicable rules. Where a company has had no significant accounting transactions, there may be a question about whether it should be treated as dormant for Companies House purposes, and that is a judgement based on the facts rather than an automatic label. Filing a confirmation statement may still be required regardless.

No. First year statutory accounts go to Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where applicable. The figures in the accounts often inform the tax computation, but these are two distinct filings with different destinations and different purposes — completing one does not complete the other.

Some newly incorporated companies do qualify for the micro-entity framework, but it is not automatic and not every startup or small company is eligible. Eligibility depends on the applicable requirements for the relevant accounting period, including threshold tests. FRS 105 is the reporting standard used by qualifying entities applying that framework. The right approach is to check the company's own figures and circumstances before deciding.

Failing to deliver accounts by the applicable deadline can lead to Companies House consequences, and the outcome can vary depending on the circumstances and how late the filing is. Paying any penalty does not remove the requirement to file the outstanding accounts. If you are already overdue, the priority is to get the accounts prepared and delivered, and we can discuss your position and whether an appeal may be appropriate.
