First-year accounts are the first set of statutory accounts a company prepares for its initial accounting period. That period normally begins on the date of incorporation and ends on the company's first accounting reference date, which Companies House sets when the company is formed. They usually include a balance sheet and, where applicable, a profit and loss account, plus any notes the applicable reporting framework requires. The directors are responsible for making sure they are prepared and, where required, filed.
It varies. The due date depends on the company's accounting reference date and the length of the first accounting period, so it is not identical for every company. Companies House generally allows a longer period for a first set of accounts than for later years, but you should check the company's own record rather than assume a date. If you are unsure what applies to your company, we can confirm the position and work to it.
Typically we need the incorporation details and share capital information, bank statements and transaction records covering the period, sales and income records, purchase invoices and business expenses, details of any assets purchased, director loan movements, and payroll or VAT records where those are relevant. Not every company will have all of these. A period with very little activity is still useful information, because it shapes how the accounts are presented.
In most cases, yes. A limited company must prepare statutory accounts for its financial year and deliver them to Companies House where required, and that obligation begins from incorporation rather than from the point the company starts trading. This filing is separate from a Corporation Tax Return submitted to HMRC and separate from the confirmation statement, so each obligation needs to be dealt with individually.
No. Statutory accounts are prepared for the company and filed with Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. The figures in the accounts often provide the starting point for the tax return, but the two documents have different purposes and go to different places. Completing one does not satisfy the other, and the company's first Corporation Tax accounting period may not be identical to its statutory accounts period.
It depends on the circumstances rather than on a simple rule. A company with no significant accounting transactions may be in a position to file dormant accounts, but that is a specific status and it is not automatic just because trading has not started. A company that has incurred costs or holds a bank account with activity, for example, is generally not dormant. We can review what has happened during the period and confirm the appropriate approach.
Some do. The micro-entity framework, which uses the financial reporting standard FRS 105, is available to companies that meet the eligibility conditions for the relevant accounting period. Those conditions are assessed against the company's own figures, so qualification is not automatic and should not be assumed simply because a business is new or small. Eligibility is normally checked as part of preparing the accounts.
If accounts are delivered after the applicable deadline, Companies House can take action, and the consequences generally become more significant the longer the accounts remain outstanding. Paying any penalty does not remove the requirement to file the accounts. If a deadline has already passed, or you are in Chatteris and think one may be approaching, it is worth speaking to us promptly so the outstanding accounts can be prepared and submitted. Whether a penalty can be appealed depends on the circumstances and the applicable rules.
