First Year Accounts for Limited Company in Cannock — Prepared and Filed With Professional Support

If your company has been incorporated recently, its first set of statutory accounts has to be prepared for the initial accounting period, and the process raises questions that are rarely obvious at the point of incorporation. Micro Entity Accounts works with directors of newly incorporated and newly trading limited companies in Cannock on exactly that task: reviewing the accounting records behind the figures, preparing the balance sheet and any profit and loss account required under the applicable reporting framework, and filing the first-year accounts with Companies House where required. Where a company also has Corporation Tax obligations, those sit separately with HMRC — a Corporation Tax Return such as a CT600 is a different filing with a different destination. We look at the company’s accounting reference date, the length of its first accounting period and whether it meets the eligibility criteria for simplified reporting, so the accounts reflect the company’s actual circumstances rather than a template assumption.

He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company? A Practical Starting Point for New Limited Companies in Cannock

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. They cover the company’s first financial period rather than a later trading year, and they are a statutory requirement in their own right — a company does not avoid the obligation simply because it was incorporated recently or has had limited activity so far. When a company is incorporated, Companies House sets an accounting reference date, generally the last day of the month in which the first anniversary of incorporation falls. The first accounting period usually runs from the date of incorporation to that first accounting reference date, but the exact position depends on the incorporation date, the accounting reference date and whether the period has been shortened or extended. Directors of a new company in Cannock should confirm the dates that apply to their own company rather than assume a standard twelve-month period. The accounts typically include a balance sheet and, where the applicable framework requires one, a profit and loss account, together with any notes needed to support the figures. The framework used depends on the company’s circumstances. Some companies qualify to report as micro-entities, with FRS 105 as the financial reporting standard applicable to qualifying entities, while others may fall within the small-company regime or require fuller reporting. Eligibility is assessed against the applicable criteria for the relevant accounting period, so a newly formed company is not automatically a micro-entity, and a company with modest activity is not automatically eligible either. Once prepared and approved by the directors, first-year statutory accounts are generally filed with Companies House where required. Companies House receives and registers the accounts; it does not prepare them and does not approve them in any professional or regulatory sense. It is worth separating the accounts from the company’s other filings. A Corporation Tax Return, such as a CT600, is submitted to HMRC and serves a different purpose — the company’s first Corporation Tax accounting period may not be identical to the period covered by the statutory accounts. A confirmation statement is a separate filing that confirms the information Companies House holds remains accurate. Delivering first-year accounts does not complete either of those requirements, and submitting a CT600 does not satisfy the accounts filing obligation.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Get Your First Year Accounts for Limited Company in Cannock Prepared Correctly

Most directors of newly incorporated companies reach the same point: the year-end is approaching, the records are in a mixture of bank statements, invoices and spreadsheets, and it is not clear which figures belong in the statutory accounts, which belong in a tax filing and which dates actually apply. Micro Entity Accounts can take that on, reviewing your accounting records, preparing the first-year statutory accounts under the appropriate reporting framework and filing them with Companies House where required, while making clear where separate obligations such as a CT600, a confirmation statement or VAT lie with HMRC or Companies House. If you would rather know your first accounts are complete and consistent before the filing date rather than after it, it is worth speaking to us early.

They are the first set of annual statutory accounts a company prepares, covering its initial accounting period from incorporation, or from the start of the first period, up to its first accounting reference date. They are prepared under an applicable reporting framework and are generally delivered to Companies House where required. They are statutory accounts, not internal management accounts, and they are separate from the company's tax filings and its confirmation statement. The period they cover may be shorter or longer than twelve months depending on the company's incorporation date and accounting reference date.

The deadline is not the same for every company. It depends on the incorporation date, the accounting reference date set by Companies House and whether the company has changed its accounting reference date. First accounts deadlines can be calculated differently from later years' deadlines, so the only reliable starting point is the company's own Companies House record. Directors should check the specific dates against their company record, and we can confirm the applicable position as part of the accounts preparation process.

It depends on what the company has actually done during the period. Typically, bank statements and transactions, sales and income records, purchase invoices and business expenses, details of any assets bought, share capital information and any director's loan or financing arrangements will be relevant. Where the company has run payroll or registered for VAT, the corresponding records matter too. A company with very little activity may need far fewer records, but there is usually still something to document. The clearer the records, the more straightforward the preparation tends to be.

Possibly yes. A limited company can have statutory filing obligations even where activity has been minimal or trading has not yet begun, so incorporation alone can create reporting duties. Whether the company is treated as dormant for filing purposes depends on its specific circumstances and the applicable rules — it is not something that should be assumed. Directors should confirm the position rather than let the year pass without filing anything, as outstanding filings can build up over time.

No. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has a Corporation Tax obligation. The two filings have different purposes and different destinations, and one does not replace the other. The figures in the accounts often feed into the tax return preparation, but the company's first Corporation Tax accounting period may not match the period covered by its statutory accounts, so the two need to be considered alongside each other rather than treated as a single exercise.

Some new companies do qualify for the micro-entity reporting framework, and FRS 105 is the financial reporting standard that applies to qualifying entities using it. However, eligibility is determined by the applicable criteria for the relevant accounting period, so it is not automatic for every startup or every company with low turnover. A company that does not meet the requirements may report under the small-company regime or need fuller accounts. Before preparing anything, we look at the company's position and confirm which framework is appropriate.

No, they are separate requirements. A confirmation statement confirms that the information Companies House holds about the company, such as its directors, registered office and share structure, is still accurate. Filing first-year accounts does not satisfy that obligation, and filing a confirmation statement does not satisfy the accounts requirement. Both may need attention in the same year, so it helps to plan them together rather than treating them as one filing.

If required accounts are not delivered by the applicable deadline, Companies House can apply consequences, and these are not necessarily identical in every case. Paying any penalty does not remove the requirement to file the outstanding accounts, and the accounts still need to be delivered. If a company has missed a deadline, it is usually best to address it promptly rather than wait, and to understand whether there are grounds for an appeal, which depends on the circumstances and the applicable rules. We can help directors in Cannock work through an overdue position, but no outcome can be guaranteed in advance.
