What Are First Year Accounts for a Micro Company?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They are a legal requirement for a company that is within the accounts filing regime — being newly incorporated does not remove that obligation, even if trading has been limited or has not yet started. The first accounting period normally begins on the date of incorporation and ends on the company’s first accounting reference date, although the exact period and the resulting filing deadline depend on the incorporation date, the accounting reference date and applicable Companies House requirements. That is why two companies incorporated a few weeks apart can face slightly different first-year positions. In practical terms, the accounts draw together the company’s financial information for that period. Depending on the company’s circumstances, this may include share capital, bank balances, amounts owed to or by the company, asset purchases, expenses and, where the company has traded, income and costs. Directors remain responsible for keeping adequate accounting records and for ensuring the company meets its filing obligations, even when an accountant is engaged to prepare or submit the accounts. Some companies may be eligible to prepare accounts under the micro-entity framework, which is based on the financial reporting standard FRS 105. Eligibility is not automatic and does not follow simply from being new or from having low activity — it depends on whether the company meets the applicable criteria for the relevant accounting period. Companies that do not qualify as micro-entities may fall within the small company framework or prepare accounts under a fuller framework, depending on their circumstances. Companies House applies specific rules to first accounts, including how the first accounting period is treated, and the resulting deadline can differ from later years.
