First-year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. They are drawn up from the company's accounting records and normally include a balance sheet, plus a profit and loss account and notes where the applicable reporting framework requires them. They cover the period from incorporation, or from the start of trading where relevant, up to the company's first accounting reference date. Filing them with Companies House is a statutory obligation where it applies, not something a company can defer until it is more established.
The content is broadly the same, but the period can differ. Later annual accounts usually cover a twelve-month period, while a company's first accounting period commonly runs from the incorporation date to its first accounting reference date, which may be longer or shorter than a year. That is why the figures in first-year accounts can look unusual compared with a standard year, and why it is worth checking the exact dates on the company's Companies House record before preparation begins.
It depends on the company's incorporation date and accounting reference date, so there is no single date that applies to every new company. Companies House generally allows a longer filing window for a company's first accounts than for later years, but the precise deadline should always be confirmed from the company's own record rather than assumed. Generally, a company still has filing obligations even where activity has been limited or trading has not yet started. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. The accounting figures behind both may come from the same records, but filing accounts does not submit a Corporation Tax Return, and filing a CT600 does not complete the Companies House accounts filing. The first Corporation Tax accounting period and the statutory accounts period can also differ, so both should be checked.
Some newly incorporated companies may qualify for the micro-entity framework, and FRS 105 is the financial reporting standard used by qualifying entities within it. However, eligibility is not automatic for every new company or every company with low turnover. It depends on the company's circumstances and the applicable eligibility requirements for the relevant accounting period. Where a company does not qualify, the small company regime or full reporting may be the correct route, and that assessment should be made before the accounts are prepared.
Failing to deliver accounts by the applicable Companies House deadline can lead to consequences, and the outcome depends on the circumstances of the filing. Late filing penalties are not identical in every case, and paying a penalty does not remove the requirement to file the outstanding accounts.
