They are the first set of annual statutory accounts a company prepares for its initial accounting period, covering the period from incorporation to its first accounting reference date. They are prepared from the company's accounting records and typically include a balance sheet, and a profit and loss account where applicable. Once prepared and reviewed, they are filed with Companies House where required. They are not the same thing as a Corporation Tax Return, and they do not replace a confirmation statement, which is a separate Companies House filing.
There is no single answer that applies to every company. The due date depends on the company's incorporation date, its accounting reference date and the fact that these are its first accounts, because Companies House applies different treatment to a company's first filing than to later years. The length of the first accounting period can also vary, so comparing your deadline with another company's is rarely useful. Once we have your incorporation details, we can confirm the dates that apply to you and work back from there.
It depends on what the company has been doing, but most first-year files draw on bank statements and transaction listings, sales and income records, purchase invoices and expense receipts, details of any assets bought, share capital information, director transactions, and any loans or finance arrangements. Where the company runs payroll or is VAT registered, those records feed in too. You will not necessarily have all of these, particularly in a quiet first year, and that is fine — we will tell you what is needed once we understand the company's position.
In most cases yes. A limited company generally has statutory accounts filing obligations once it is incorporated, and those obligations are not switched off simply because the company has only recently started or has had limited activity. Whether a company files full accounts or a simpler set depends on its eligibility for a reporting framework and the applicable requirements for the period. Directors remain responsible for making sure the filing happens, even when an accountant prepares and submits the accounts on the company's behalf.
It depends on the company's circumstances rather than on a simple rule. A company with no significant accounting transactions may be in a dormant position for Companies House purposes, but that is a question to be assessed, not assumed, and the position for a company that has not yet commenced trading is not automatically the same as for a dormant company. Because the reporting position varies, it is worth reviewing the company's activity before deciding what needs to be filed and in what form.
No. They are separate compliance matters with different destinations. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. Filing one does not complete the other. The figures from the statutory accounts are often used when working out the company's Corporation Tax position, and it is worth noting that a company's first Corporation Tax accounting period may not be identical to its statutory accounts period, particularly where trading started after incorporation.
It can, but not automatically. Eligibility for the micro-entity framework depends on meeting the applicable requirements for the accounting period, which look at factors such as turnover, balance sheet total and employee numbers. FRS 105 is the financial reporting standard that applies to qualifying entities using that framework, and it is not something that applies to every new company by default. If your company does not qualify, small-company or full reporting may be the right route instead, and we will confirm which framework fits your circumstances.
Failing to file required accounts by the applicable deadline can lead to Companies House consequences, which may include late filing penalties. The outcome is not identical in every case, and paying a penalty does not remove the requirement to file the outstanding accounts. If you are already overdue, the priority is to get the accounts prepared and filed as quickly as the records allow. Where a penalty appeal is a possibility, whether it can be pursued depends on the circumstances and the applicable rules, so it is worth taking advice rather than assuming.
