First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period after incorporation. They usually include a balance sheet, a profit and loss account where applicable, and the notes and statements required by the applicable reporting framework. For eligible companies, the micro-entity framework may be used. First-year accounts are generally filed with Companies House where required, but they are not the same as a Corporation Tax Return such as a CT600 or a confirmation statement.
There is no single due date that applies to every new limited company. The first accounting period and filing deadline depend on the company's incorporation date, accounting reference date and the applicable Companies House requirements. Companies House sets an accounting reference date on incorporation, and the filing position is worked out from the relevant dates. Directors should check the company's Companies House record and any official correspondence, especially if the company has not traded yet or has had limited activity. If the position is unclear, professional advice can help confirm what is required.
The information required depends on what the company has done during its first accounting period. It may include bank transactions, sales and income records, business expenses, purchase invoices and receipts, asset purchases, director transactions, share capital details, loans or finance arrangements, payroll records where applicable, VAT records where applicable, and other supporting accounting documents. Even if activity has been limited, records showing what has happened are still important. Accurate accounting records help support the figures included in the first-year statutory accounts.
A limited company generally has statutory accounts filing obligations, and these do not automatically disappear simply because trading has not started. If the company has had no significant accounting transactions, its reporting position depends on whether it meets the applicable dormant company criteria and the rules for the relevant period. A limited company may still need to submit confirmation statements and keep its Companies House information up to date, subject to the applicable requirements and deadlines.
Failing to file required accounts by the applicable deadline can lead to Companies House consequences, which may include penalties depending on the circumstances. Not every late filing receives the same outcome, and paying a penalty does not remove the requirement to file any outstanding accounts. If accounts are overdue or you believe a deadline may be missed, it is sensible to seek advice promptly. Whether a penalty appeal is possible depends on the circumstances and the applicable rules.
