Depending on the reporting framework used and the company's circumstances, they normally include a balance sheet, a profit and loss account where required, supporting notes and, where applicable, a directors' report. Companies House sets an accounting reference date when the company is incorporated, and the deadline for the first accounts is calculated from that date, with the first period often covering more than twelve months. Because the calculation depends on your company's own dates, the practical approach is to check the deadline shown on your Companies House record and begin preparation well before it falls due.
Typically bank statements and transactions, sales and income records, purchase invoices and expense receipts, details of any assets purchased, share capital information and any director loan or finance arrangements. Where the company has run payroll or is VAT registered, those records are relevant as well. If activity has been minimal, we still review what exists, including the incorporation documents and share capital position, to work out the correct reporting treatment.
A limited company is generally expected to prepare and file statutory accounts with Companies House where required, whether or not it has started trading. A company with no significant accounting transactions may be in a different reporting position, but that depends on its individual circumstances and the applicable rules rather than on an automatic assumption that it is dormant.
