What Are First Year Accounts for a Micro Company, and Does That Framework Apply to Your New Limited Company?

First-year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company is new, and they are not the same thing as a tax return. When a company is incorporated, Companies House sets an accounting reference date, and the first accounting period generally runs from the date of incorporation to that reference date. Because that first period is calculated from the incorporation date, it can work differently from the annual cycle the company will follow afterwards, and the same applies to the filing deadline: the first accounts deadline is worked out from the incorporation date and the accounting reference date, so it is not always the same as the deadline a company faces in later years. Once the period is confirmed, the accounts are prepared from the company’s accounting records and generally delivered to Companies House where required. Some newly incorporated companies qualify to report under the micro-entity framework, which is the simplified regime set out in FRS 105, but eligibility is not automatic. It depends on whether the company meets the applicable criteria for the relevant accounting period, so turnover, balance sheet size and other factors all need to be considered before assuming the micro-entity framework is the right fit. A director of a Bromyard company that does not meet those criteria may still need accounts prepared under a different framework. It also helps to keep three separate obligations apart. The statutory accounts go to Companies House where required. The deadline is not the same for every company. It is calculated from the incorporation date and the accounting reference date, and the first accounts deadline is worked out differently from the deadlines that apply in later years. Because those dates vary from company to company, the sensible approach is to check the specific dates on the Companies House record for your company rather than assume a standard period applies. We can confirm the position for your company and work towards the applicable date.

It depends on what the company has been doing. Typically we would look at bank transactions, sales or income records, business expenses and purchase invoices, any asset purchases, director transactions and loans, share capital details, and payroll or VAT records where those apply. Companies with limited activity will have fewer records to supply. You do not need everything to be perfectly organised before getting in touch, but accurate records make the accounts more straightforward to prepare.

In most cases, yes, a company incorporated in the UK has statutory accounts filing obligations from its first accounting period, and those obligations can apply even where activity has been limited or trading has not yet commenced. Where a company has had no significant accounting transactions, the correct reporting position depends on its particular circumstances and the applicable rules rather than being automatically treated as dormant. Filing accounts with Companies House is also separate from keeping the register up to date through confirmation statements.

The statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has a Corporation Tax obligation. Information from the accounts is often used when working out the company's tax position, but filing the accounts does not submit a CT600, and submitting a CT600 does not complete the Companies House accounts filing. The first Corporation Tax accounting period may also differ from the statutory accounts period.

Some newly incorporated companies do qualify, but it is not automatic and it should not be assumed. Eligibility depends on whether the company meets the applicable criteria for the relevant accounting period, and the micro-entity framework uses the financial reporting standard FRS 105. If a company does not meet those criteria, its accounts need to be prepared under a different framework. We check eligibility as part of preparing the accounts rather than applying one approach to every client.

No. They are separate filings. A confirmation statement updates the information held on the public register, such as directors, registered office and share details, while the statutory accounts report the company's financial position for the accounting period. Filing the accounts does not satisfy the confirmation statement requirement, and filing a confirmation statement does not satisfy the accounts requirement.
