What Are Overdue Company Accounts, and Why Do They Matter?

A company that is required to prepare annual accounts must generally deliver them to Companies House by the statutory deadline that applies to its accounting reference period. That deadline is not identical for every company, so the date that matters is the one applying to your company’s circumstances. When the deadline passes and the required accounts have still not been delivered, they are treated as overdue. An overdue filing does not mean the company’s registered status has changed automatically — it means the filing obligation has not yet been met and remains outstanding. Accounts can become overdue whether the company has traded actively, has been quiet for a period, or is dormant, because the duty to file is separate from the level of activity. The longer accounts remain outstanding, the more serious the position may become, and late-filing penalties can apply where accounts are delivered after the deadline. Overdue accounts are also only one part of company compliance: confirmation statements, Corporation Tax Returns such as CT600 and other HMRC matters are handled separately and may need attention in their own right.

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline for the accounting reference period. If that deadline passes without the accounts being delivered, they are described as overdue. An overdue filing does not mean the company's registered status has changed automatically — it means the required filing has not yet been made and remains outstanding. The exact deadline depends on the company's circumstances, so the date applying to your company is the one to work from.

In most cases, yes. Where accounts should have been delivered to Companies House, the obligation to prepare and file them continues after the deadline passes, and the outstanding periods still need to be addressed. Preparing them may require information such as bookkeeping records, bank statements, invoices, expense records, previous accounts and company details, although what is needed depends on the accounting period and the company's circumstances. Filing overdue accounts does not, by itself, resolve other obligations — a confirmation statement is a separate filing, and HMRC requirements such as CT600 Corporation Tax Returns are separate again.

They can. Dormant companies can still have Companies House filing obligations, and dormancy does not automatically mean the requirement to file annual accounts has gone away. If the required accounts were not delivered by the applicable deadline, they can become overdue regardless of whether the company traded. Dormancy and overdue filing are separate matters, and a dormant company may also need to keep its Companies House information up to date.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline. The penalty that may apply depends on the length of the delay and the company's circumstances, so it is not the same in every case, and whether an appeal is possible depends on the applicable rules and the reasons for the delay. Paying a penalty does not remove the requirement to file the outstanding accounts — the filing obligation and any penalty are separate matters.

Where a company has more than one outstanding accounting period, each period may need to be prepared and filed separately, which can mean several sets of accounts. Filing one set does not automatically resolve the others. We can review your Companies House records alongside your own records to establish which periods remain outstanding and how best to work through them in order, subject to the information available.

An overdue filing does not automatically suspend, dissolve or remove a company from the Companies House register. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a strike-off notice has already been issued, or if the company has been dissolved, the position may require separate advice — including considering restoration — rather than being treated as a straightforward overdue filing.

Some companies with overdue accounts may qualify for the micro-entity reporting framework, in which case FRS 105 is the financial reporting standard that would apply. Eligibility depends on the company's legal structure, size, accounting period and other circumstances, and not every company qualifies. Where micro-entity accounts are not appropriate, small-company accounts or another applicable form of statutory accounts may be required. We can review which framework applies before anything is prepared.

Yes, they are separate. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable. Delivering overdue accounts to Companies House does not automatically satisfy any outstanding Corporation Tax obligations, so a company with both types of filing outstanding may need to deal with each of them in turn.
