Once that date passes and the accounts have not been delivered, those accounts are treated as overdue. The applicable deadline is not the same for every company: it can depend on the accounting reference date, whether the company is filing for the first time, and other circumstances, so the position is best checked period by period rather than assumed. Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, those accounts are overdue in the same way as any other company's. Dormant accounts are often simpler to prepare, but that does not automatically exempt a company from filing. Where a company has not traded, we can review the position and confirm what still needs to be submitted.

Companies House can issue a late-filing penalty where accounts are delivered after the applicable deadline. The amount is not the same in every case — it depends on factors such as how late the accounts are and the type of company involved. A penalty does not replace the filing obligation, and an accountant cannot automatically reduce, cancel or appeal a penalty successfully; eligibility for any appeal depends on the circumstances and the applicable Companies House rules.

Yes. The penalty and the requirement to file are two distinct matters. Settling a penalty does not remove the obligation to prepare and deliver the outstanding accounts, and it does not bring the company's Companies House records up to date on its own. The accounts should still be completed and submitted as soon as they can be, along with any other filings that remain outstanding.

Each outstanding accounting period generally needs to be dealt with separately, which may mean preparing and filing more than one set of accounts. Filing one period does not automatically resolve the others, so it is usually sensible to work through the periods in order and confirm the position for each one. The information required will depend on the records available and the circumstances of each period.

The position is different once a strike-off notice has been issued, or where a company has already been dissolved.
