The applicable deadline is not the same for every company — it can depend on the company’s accounting reference period and its individual circumstances — so it is worth confirming exactly what remains outstanding on your Companies House record. Overdue accounts do not resolve themselves, and they cannot usually be set aside because the company has stopped trading or has minimal activity; dormant companies may also have annual accounts filing obligations. Where accounts are delivered after the deadline, Companies House may apply a late-filing penalty, and the position can become more serious the longer a filing remains outstanding. Delivering the accounts and dealing with any penalty are separate matters: paying a penalty does not remove the requirement to file. There is no single reason. Accounts may become overdue because bookkeeping records were not kept up to date, because the company changed accountant part way through a period, because a director was unwell or unavailable, or because there was an assumption that nothing needed to be filed while the company was quiet. First accounts after incorporation and periods following a change of accounting reference date can also catch directors out. Whatever the cause, the filing obligation remains and the sooner the position is reviewed, the easier it usually is to work through.

Yes. Where a company is required to prepare and deliver statutory accounts, that obligation continues even after the deadline has passed. Overdue accounts should be prepared and delivered to Companies House where required. Filing one set does not automatically resolve the other outstanding periods. We would normally start by establishing exactly which periods remain outstanding, then work through them in a sensible order — and the information required can vary depending on the period being prepared.

Some companies with overdue accounts may qualify to prepare accounts under the micro-entity framework, and where a company qualifies, that framework may be used for the outstanding period. It is not automatic: eligibility depends on the company's size, legal structure, accounting period and circumstances, and FRS 105 applies only to entities that meet the qualifying conditions. A small company does not necessarily qualify as a micro-entity, so the appropriate reporting framework should be confirmed before the accounts are prepared.

Yes. Statutory accounts are filed with Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where applicable. A confirmation statement is also a separate filing made to Companies House and does not replace annual accounts. Bringing overdue accounts up to date does not automatically satisfy Corporation Tax obligations or confirmation statement requirements, so these are worth reviewing alongside the accounts — particularly if several periods have been missed.
