What Makes Company Accounts Overdue, and Why It Matters

Company accounts normally have to be delivered to Companies House by the applicable statutory deadline for the accounting period in question. That deadline is not identical for every company, because it depends on factors such as the accounting reference period and the company’s own circumstances. Once the deadline has passed and the required accounts have not been delivered, those accounts are treated as overdue. Overdue accounts are usually worth addressing promptly. While accounts remain outstanding, the company’s filing record at Companies House is incomplete, and the longer the position is left unresolved, the more the matter can develop. Late-filing penalties may apply where accounts are delivered after the deadline, and persistent non-compliance can increase the risk of further action being taken against the company, although the outcome always depends on the circumstances. Dormant companies are not automatically exempt. A company can be dormant for Corporation Tax purposes and still have annual accounts filing obligations at Companies House, so dormancy and overdue filing are separate issues. Company accounts become overdue when the statutory filing deadline for a particular accounting period has passed and the required accounts have not been delivered to Companies House. It is about the filing obligation and the deadline rather than how well or badly the company has traded. If you are unsure which periods are outstanding, we can check the company's filing position and confirm what still needs to be prepared.

There are several common reasons. A director may not have realised that the filing deadline had passed, the company may have been inactive and assumed no accounts were needed, bookkeeping records may be incomplete, or a change of accountant may have left a gap between advisers. Whatever the reason, the obligation to deliver the outstanding accounts does not disappear, and the position is usually easier to resolve once the outstanding periods have been identified.

Yes. Where accounts are required to be delivered to Companies House, that requirement continues even after the deadline has passed. Preparing and filing the outstanding statutory accounts is the usual route to bringing the company's filing record up to date, although the accounts must first be prepared, reviewed and authorised by the director before submission.

Yes. Dormancy relates to the company's trading and Corporation Tax position; it does not remove Companies House filing obligations by itself. A dormant company can still have annual accounts that were due and not delivered, which means those accounts are overdue. Whether a particular dormant company can file a simpler form of accounts depends on its circumstances and the applicable requirements.

Where accounts are delivered after the applicable deadline, a late-filing penalty may be imposed by Companies House. Whether a penalty applies, and how it is calculated, depends on the circumstances, including how late the filing is. Submitting the accounts does not automatically remove or cancel any penalty that has been charged, and the requirement to file and the penalty are separate matters.

Yes. Paying a penalty does not satisfy the filing obligation. The outstanding accounts still need to be prepared and delivered to Companies House, and the company may also have separate compliance matters to deal with, such as a confirmation statement or a Corporation Tax Return submitted to HMRC where applicable.

Each outstanding period generally needs its own set of accounts, so a company with more than one overdue period may need several sets prepared, reviewed and filed. It is not usually possible to resolve them all with a single filing. We can look at the periods involved, agree an order of work and prepare each set in turn, with the director reviewing and authorising each one before it is submitted.
