What Overdue Company Accounts Filing Means for Directors

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is worked out from the company’s accounting reference period and its own circumstances rather than being the same date for every company. Once that deadline passes without the required accounts being delivered, the accounts are treated as overdue. This is more than a bookkeeping delay: the accounts remain outstanding, and the Companies House record will continue to show that position until the required documents are prepared and submitted. Overdue simply means the filing is late and still outstanding; it does not change the underlying requirement to prepare and file the accounts where they are due.

Yes. Where a company is required to deliver statutory accounts to Companies House, that obligation continues even after the deadline has passed. The accounts still need to be prepared in the appropriate form and submitted, and any related matters such as Corporation Tax obligations, confirmation statements or other outstanding filings may need to be addressed separately. The exact position depends on the company's circumstances and which periods remain outstanding.

Yes. A dormant company can still have Companies House filing obligations, and dormancy does not automatically exempt a company from filing annual accounts. Dormancy and overdue filing are separate matters: a company may be dormant and still have accounts that are overdue because the required documents were not delivered by the applicable deadline. Whether a dormant company needs to file, and what it needs to file, depends on its specific circumstances.

Where accounts are delivered after the applicable deadline, Companies House may impose a late-filing penalty. The level of any penalty depends on the circumstances and the length of the delay, and it is not the same in every case. Filing the outstanding accounts and dealing with any penalty are separate matters, so paying a penalty does not remove the requirement to file the accounts themselves. If you believe a penalty has been applied incorrectly, eligibility for an appeal depends on the circumstances and the applicable Companies House rules.

Where several accounting periods are outstanding, more than one set of accounts may need to be prepared and delivered. Completing one period does not automatically resolve the others, so each outstanding period generally has to be reviewed and addressed in turn. Some companies may qualify for the micro-entity reporting framework, in which case micro-entity accounts prepared under FRS 105 may be appropriate for the period in question. An overdue company may originally have been required to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts, and we would confirm the correct framework before preparing anything.

Yes. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. Submitting overdue accounts to Companies House does not automatically satisfy any outstanding HMRC obligations. A confirmation statement is also a separate filing made to Companies House and is not replaced by filing annual accounts, so it may need to be dealt with alongside any outstanding accounts.
