We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Is Worth Addressing Promptly

Company accounts generally need to be delivered to Companies House by the applicable statutory deadline for the company’s accounting reference period. When that deadline passes and the required accounts have not been delivered, those accounts are treated as overdue. The relevant deadline is not identical for every company — it can depend on whether it is the company’s first accounting period, the accounting reference date in use, and other circumstances such as any previously shortened or extended period. Reasons for late filing vary: records may not have been finalised, a director may be unsure which period applies, or a change of accountant may have interrupted matters. Whatever the cause, the filing obligation itself does not disappear, and the longer accounts remain outstanding, the more involved the position can become. Companies House may apply late-filing penalties where accounts are delivered after the deadline, and persistent non-compliance can increase the risk of further action against the company, including compulsory strike-off procedures. It is also worth remembering that overdue accounts are only one part of company compliance: confirmation statements, Corporation Tax obligations and other filings may need attention separately. The right approach depends on the company’s circumstances and the periods outstanding, so a review is usually the sensible first step.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

Up to 1 month late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the applicable statutory filing deadline has passed and the required accounts have not been delivered to Companies House. The deadline itself is not the same for every company — it depends on the accounting reference period, whether it is a first set of accounts, and the company's particular circumstances. Being overdue simply means the filing requirement remains outstanding. It does not, on its own, change the company's status on the Companies House register.

Yes, where the company is required to deliver statutory accounts, the obligation continues even after the deadline has passed. Overdue accounts still need to be prepared and filed, and Companies House can apply a late-filing penalty once delivery happens after the due date. Filing the outstanding accounts does not automatically cancel any penalty that may apply, since the filing requirement and the penalty are separate matters. We can review which accounting periods are outstanding and prepare the accounts accordingly.

A dormant company can certainly have overdue accounts if the required accounts were not filed by the applicable deadline. Dormancy and overdue filing are separate issues: dormant status does not automatically remove annual accounts filing obligations, although a genuinely dormant company may qualify for certain filing exemptions subject to the relevant requirements. Whether an exemption applies depends on the company's circumstances and the accounting period concerned, so it is worth confirming the position before assuming nothing needs to be submitted.

Where accounts are delivered after the applicable deadline, Companies House can impose a late-filing penalty. The level of penalty is not the same in every case and depends on factors such as how late the accounts are and the type of company involved. A penalty is not optional, and paying any penalty does not remove the requirement to file the outstanding accounts — both need to be dealt with. If you believe a penalty was issued incorrectly, an appeal may be possible depending on the circumstances and the applicable Companies House rules.

Where several periods are outstanding, each one generally needs to be prepared and filed separately — filing a single set of accounts does not resolve the others. The number of periods involved and the work required will depend on the company's records and circumstances. We can review the position, confirm which periods remain outstanding and work through them in a sensible order so the company's Companies House records are brought up to date as far as possible.

Some companies may qualify for the micro-entity accounting framework, with accounts prepared under FRS 105, the financial reporting standard applicable to qualifying entities using that framework. However, not every company qualifies, and eligibility depends on the size and structure of the company and the period being prepared. The appropriate reporting framework is confirmed once the company's circumstances have been considered, which may mean micro-entity, small-company or another form of statutory accounts.

Yes. Statutory accounts are filed with Companies House where required, whereas a CT600 Corporation Tax Return is submitted to HMRC where applicable — filing accounts with Companies House does not automatically satisfy Corporation Tax obligations. A confirmation statement is also separate from annual accounts and is submitted to Companies House to confirm the company's information is up to date. A company with overdue accounts may therefore need to address other filings as well, depending on its circumstances.

Micro Entity Accounts supports company directors in Whitstable who need help preparing and filing overdue company accounts. We review the outstanding filing requirements, confirm which accounting periods need attention, prepare the statutory accounts and submit them to Companies House, with the documents reviewed and authorised by you before anything is filed. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT, and we can also discuss related matters such as Corporation Tax Returns or confirmation statements where these are relevant to your situation.
